About The Position

The Contracts and Legal Administration Manager plays a key role in supporting the Company’s contracting function and the effective administration of legal matters. This role combines substantive, hands-on contract drafting, review and negotiation with responsibility for contract administration and other Legal Department operations. The Manager will work with a high degree of independence, handling routine contracts and amendments, preparing first drafts and negotiating within established parameters, and providing substantive support to attorneys on more complex matters. This role requires an experienced contracts professional who can exercise sound judgment, manage matters with minimal supervision, and effectively balance substantive contract work with the detailed administrative responsibilities necessary to maintain an efficient and well-managed contracting function.

Requirements

  • 8+ Years prior experience in contracts management, contract administration, legal operations, paralegal work or a similar role within a corporate legal department or comparable environment required
  • Minimum of eight (8) years prior experience in contracts management, contract administration, legal operations, paralegal work or a similar role within a corporate legal department or comparable environment.
  • Experience reviewing and preparing routine commercial contracts and related documents.
  • Strong organizational skills and ability to manage a significant volume of contracts and competing priorities with minimal supervision.
  • Meticulous attention to detail and quality of work product, with strong analytical thinking and problem-solving skills
  • Able to prioritize multiple assignments, work well under pressure, meet deadlines and have the flexibility to assist the team in meeting internal business partner and customer demands on accelerated schedules.
  • Ability and willingness to perform both substantive contract work and hands-on administrative tasks as an integral and recurring part of the role.
  • Excellent written and verbal communication skills, including in a remote setting and with senior executives.
  • Proficiency with Microsoft Office (e.g., Word, Excel, PowerPoint) and experience with contract lifecycle management, electronic signature, document management, or similar systems (e.g., Salesforce, DocuSign CLM or comparable applications).
  • Able to work productively both independently and as part of a team, with a positive professional demeanor.

Responsibilities

  • Independently prepare high-quality first drafts of agreements, amendments, addenda, statements of work, order forms and other contractual documents for attorney review, with an expectation that drafts are substantively developed and require limited attorney revision.
  • Lead negotiations on standard and moderately complex contractual terms within established Company positions and parameters, working directly with counterparties and escalating material legal, regulatory, financial or business risks to counsel as appropriate.
  • Prepare contract summaries, issue lists, comparison documents, negotiation notes, and other materials that enable attorneys and business leaders to quickly assess contractual positions and outstanding issues.
  • Partner closely with attorneys on complex transactions by conducting initial contract review, preparing and revising drafts, developing proposed responses to counterparty positions and driving matters toward resolution with minimal supervision.
  • Work with business leaders stakeholders to obtain information, confirm business terms, and address routine questions necessary to prepare and complete contract documents.
  • Manage the Legal Department’s contract retention and storage processes and ensure executed agreements and related documentation are accurately captured, stored and readily accessible.
  • Perform substantive contract and legal-support functions comparable to those performed by an experienced corporate paralegal or contracts professional, while recognizing matters that require legal advice or attorney decision-making and escalating those matters appropriately.
  • Coordinate renewal and expiration processes with attorneys and business stakeholders, including identifying upcoming deadlines, gathering relevant information, and facilitating timely decisions regarding renewal, renegotiation, amendment or termination.
  • Independently research and analyze existing agreements in response to business and attorney requests, including determining applicable contractual terms, identifying governing documents and amendments, and summarizing relevant obligations or restrictions.
  • Maintain accurate and complete contract records in the Company's contract management systems as applicable, and repositories.
  • Assist with document preparation, formatting, redlines, comparisons, execution copies, signature packages and related contract documentation, including managing document deliveries and tracking final executed documentation.
  • Support the maintenance and organization of contract templates, forms, playbooks and related materials.
  • Maintain compliance with lnovalon's policies, procedures and mission statement.
  • Adhere to all confidentiality and HIPAA requirements as outlined within lnovalon's Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position.
