The Contracting and Operations Attorney plays a critical role in supporting the organization’s commercial activities through the delivery of high-quality legal services. This position is responsible for managing the full spectrum of contract-related work, including drafting, reviewing, and negotiating complex agreements while ensuring alignment with business goals, risk tolerance, and enterprise strategy. The Contracting and Operations Attorney will serve as a key advisor to internal stakeholders, providing clear, actionable guidance on legal terms, obligations, and potential risks across a variety of transactions. The ideal candidate is an actively licensed and practicing attorney with strong experience in commercial contracting who thrives in a fast-paced, collaborative environment. This role requires the ability to balance legal risk with practical business considerations, influence stakeholders at multiple levels, and drive efficient contracting processes. The Contracting and Operations Attorney will also contribute to the development of templates, playbooks, and best practices, helping to enhance consistency, scalability, and overall effectiveness of the organization’s contracting function.

Requirements

  • Juris Doctor (JD) from an accredited law school
  • Active bar membership and in good standing in at least one U.S. jurisdiction
  • Currently practicing as an attorney (law firm, in-house, or similar legal role)
  • Minimum of 3-5 years of experience in contract drafting and negotiation, specifically SaaS agreements, master service agreements, master purchasing agreements, consulting agreements, order forms, and statements of work
  • Strong knowledge of commercial contract law and general corporate legal principles
  • Demonstrated ability to manage competing priorities and deadlines in fast paced environment
  • Excellent written and verbal communication skills
  • Strong analytical and problem-solving capabilities
  • Familiarity with operating and managing contract management systems (e.g., CLM tools)
  • Experience supporting procurement or sales contracting functions
  • Excellent contract drafting and negotiation skills, with the ability to balance legal risk with business needs.
  • High level of integrity, professionalism, and responsiveness in a fast-paced, high-growth environment with team member mindset.

Nice To Haves

  • In-house legal experience and at least 2 years law firm work advising healthcare clients is strongly preferred
  • Background in healthcare, technology (SaaS, software, or hardware), experience with GPOs and strategic sourcing initiatives a plus

Responsibilities

  • Draft, review, and negotiate a wide range of commercial contracts, ensuring accuracy, clarity, and alignment with business objectives
  • Manage contracts throughout the full lifecycle, including intake, negotiation, execution, renewal, and termination
  • Provide practical, business-oriented legal advice by identifying risks and recommending effective mitigation strategies in contracts and business operations
  • Assist in preventing and resolving contractual disputes by analyzing issues, advising on strategies, and supporting negotiations
  • Support and optimize contract lifecycle management (CLM) systems, ensuring proper documentation and tracking of key obligations
  • Partner with cross-functional teams (e.g., procurement, sales, finance, compliance) to support contracting needs and deal execution
  • Ensure compliance with applicable laws, regulations, and internal policies, including data privacy, IP, and industry-specific requirements
  • Develop, maintain, and improve contract templates, clause libraries, and negotiation playbooks to enhance efficiency and consistency
  • Contribute to process improvements, training, and strategic legal initiatives to enhance overall contracting operations
  • Provide legal support and strategies to operational business teams
  • Other duties as assigned.
