The Role Aderant is seeking an experienced Contract Manager to join its Legal and Commercial Operations team. This is a senior contract professional role responsible for structuring, negotiating, and administering customer and partner agreements in close coordination with Sales, Finance, and Revenue Operations. The Contract Manager serves as a key operational partner in the deal lifecycle. This role is responsible for ensuring contracts align with approved commercial frameworks, internal policies, and regulatory requirements, while maintaining speed and efficiency in a high-volume SaaS sales environment. This position works closely with Legal team members and business stakeholders to support consistent risk management, scalable processes, and disciplined contract execution. Requirements

  • Bachelor’s degree required; paralegal certification or advanced degree is a plus
  • 5+ years of experience in contract management, commercial contracting, or sales operations in a technology or SaaS environment
  • Demonstrated experience negotiating business-to-business agreements with sophisticated customers
  • Strong understanding of SaaS subscription models, software licensing structures, and professional services arrangements
  • Experience working cross-functionally with Legal, Sales, Finance, and Operations teams
  • Familiarity with electronic signature tools and CRM systems such as Salesforce; experience with contract lifecycle management systems is preferred
  • Strong attention to detail and the ability to manage a high volume of concurrent transactions under time pressure
  • Ability to exercise sound judgment within defined risk frameworks and escalate appropriately
  • Clear, professional communication skills and confidence interacting with internal stakeholders and customer representatives

Responsibilities

  • Lead the preparation, review, negotiation, and administration of customer agreements, including SaaS subscription agreements, legacy software licenses, order forms, amendments, and renewals
  • Negotiate commercial and operational terms within established playbooks and approved parameters, escalating legal or high-risk issues appropriately
  • Ensure contracts reflect approved pricing, discounting, and commercial structures
  • Verify required internal approvals and maintain compliance with company policies and delegation frameworks
  • Coordinate contract execution through electronic signature platforms and manage post-signature processing
  • Partner with Sales, Finance, Revenue Operations, and Legal to move transactions efficiently from negotiation to activation
  • Support third-party licensing and vendor-related contractual obligations where applicable
  • Assist in monitoring customer compliance with license and usage terms
  • Conduct or review restricted party screenings and support related compliance processes
  • Maintain and update standard templates, order forms, and contract workflows
  • Contribute to the development and refinement of contract playbooks, clause libraries, and operational best practices
  • Help drive continuous improvement in contracting systems, tools, and reporting, including CRM and CLM platforms
