About The Position

Woodward's Industrial Segment is seeking a Contract Manager II (Government) who is primarily responsible for managing government contracts throughout the full lifecycle, including drafting, reviewing, negotiating, and administering agreements. This role will also support commercial contracting activities for supply and service agreements as well as NDAs and purchase agreements. Partners with internal teams and external stakeholders to resolve contract issues, support compliance, and manage risks. Handles customer or regional contract ownership, including make whole requests and flow down requirements, while maintaining accurate documentation and supporting efficient contract processes. This position requires use of information which is subject to the International Traffic in Arms Regulations (ITAR) and/or the Export Administration Regulations (EAR). All applicants must be U.S. Persons within the meaning of the ITAR and EAR, or eligible to obtain all required authorizations from the U.S. Department of State and/or the U.S. Department of Commerce. The ITAR defines a U.S. Person as a U.S. citizen or national, lawful permanent resident (i.e., 'Green Card holder'), or a protected person (e.g., asylee, or refugee). Requirements

  • Experience with FARs (esp. FAR Part 12), DFARs, commercial items assertions, Buy America Act certifications, COTS, and working as a prime contractor and/or subcontractor.
  • Proficient in negotiating complex contract terms to secure favorable agreements with minimal guidance.
  • Skilled in identifying and mitigating potential contractual risks to protect organizational interests.
  • Developing understanding of the impacts of relevant laws and regulation, with an in depth understanding of what is required for legal group.
  • Capable of leading contract related projects, managing timelines, resources, and ensuring project objectives are met.
  • Expertise in analyzing complex contractual issues and developing effective, strategic solutions.
  • Excellent ability to convey complex and sensitive contract information clearly to internal and external stakeholders.
  • Skilled in preparing clear and comprehensive contract documents with minimal guidance; a variety of contract types.
  • Skilled in improving contract management processes to enhance efficiency and effectiveness within the team.
  • Has a good understanding of the financial impacts of contract terms.
  • Proficient in maintaining accurate and organized contract records and ensuring all documentation is up to date.
  • Experienced with US Government contracting

Responsibilities

  • Manages intermediate accounts or regions, owning the contract throughout the lifecycle.
  • Oversees all phases of contract management from initiation and execution to renewal and termination, ensuring timely and accurate processing.
  • Responsible for make whole request, flow down requirements.
  • Identifies potential risks within contracts and develops strategies to minimize exposure, ensuring alignment with organizational objectives.
  • Partners with internal teams and external partners to facilitate effective contract negotiations and resolve any contractual issues.
  • Prepares, reviews, and negotiates contractual agreements to ensure compliance with company policies and legal standards.
  • Handles customer or regional contract ownership, including make whole requests and flow down requirements, while maintaining accurate documentation and supporting efficient contract processes.
