About The Position

Bosun Solutions is recruiting on behalf of an established and growing commercial general contractor in Dallas, TX, seeking an experienced Contract Manager / Corporate Paralegal to join its in-house legal team. This newly created position will work directly with the company's General Counsel and serve as a key resource for contract management, legal documentation, and contractual risk management. As the company continues to grow, the General Counsel is looking for a trusted partner who can take ownership of day-to-day contract responsibilities, improve internal processes, and help ensure agreements and contractual obligations are properly managed across the organization. The primary focus of this role is commercial contract management, including preparing and revising agreements, conducting first-pass reviews and redlines, identifying potential contractual risks, tracking critical dates and obligations, and coordinating with internal stakeholders and outside parties. The ideal candidate will have hands-on experience in commercial contract management, corporate or transactional paralegal work, or construction contracts. While the position may involve some claims and litigation support, substantive contract experience is essential. Requirements

  • 5+ years of experience in commercial contract management, contract administration, corporate or transactional paralegal work, construction contracts, or a closely related field.
  • Demonstrated experience preparing, reviewing, revising, and redlining commercial agreements.
  • Ability to identify potential contractual risks, recognize non-standard provisions, and determine when matters should be escalated for legal review.
  • Experience managing contracts throughout their lifecycle, including execution, document control, amendments, deadlines, and compliance requirements.
  • Strong proficiency in Microsoft Word, including Track Changes, document comparison, formatting, and redlining.
  • Excellent organizational skills with the ability to manage multiple agreements, deadlines, and competing priorities.
  • Strong written and verbal communication skills and the ability to work effectively with attorneys, executives, operational teams, and external parties.
  • High degree of professionalism, discretion, attention to detail, and sound judgment.
  • Ability to work independently, take ownership of responsibilities, and proactively identify opportunities for improvement.

Nice To Haves

  • Experience with a commercial general contractor or within the construction industry.
  • Familiarity with owner contracts, subcontract agreements, construction-related insurance requirements, indemnification, scope-of-work provisions, change management, and contractual notices.
  • Previous experience supporting an in-house legal department or General Counsel.
  • Experience with commercial real estate, engineering, architecture, or other contract-intensive industries.
  • Experience implementing or improving contract-management systems, document repositories, templates, or internal workflows.
  • Bachelor's degree, paralegal certificate, or other relevant education or professional certification.
  • Candidates with substantial, directly relevant contract-management experience will be considered regardless of whether they hold a formal paralegal credential.

Responsibilities

  • Manage commercial contracts throughout their lifecycle, from initial preparation and review through negotiation support, execution, administration, and closeout.
  • Prepare, revise, and customize owner contracts, subcontract agreements, vendor agreements, addenda, amendments, and other commercial agreements using company-approved templates and established language.
  • Conduct first-pass contract reviews and redlines, identifying inconsistencies, non-standard language, missing information, and potential contractual risks.
  • Review key contractual provisions, including scope of work, payment terms, insurance requirements, indemnification, limitation of liability, termination, warranties, notice requirements, and dispute resolution.
  • Identify matters requiring legal review and escalate appropriate issues to General Counsel.
  • Coordinate contract revisions, approvals, and execution with internal stakeholders, clients, subcontractors, vendors, and outside counsel as needed.
  • Track contractual deadlines, deliverables, renewals, notice requirements, approvals, and other obligations.
  • Review and maintain Certificates of Insurance and other contract-related compliance documentation.
  • Maintain organized, accurate, and accessible contract files, including executed agreements, amendments, exhibits, insurance documentation, and supporting records.
  • Help develop and standardize contract templates, document-management practices, internal workflows, and approval processes.
  • Partner with General Counsel to identify opportunities to streamline routine legal and contract-related responsibilities.
  • Maintain corporate and legal records, track important dates, and support due diligence and compliance-related activities.
  • Coordinate with project management, operations, accounting, risk management, and leadership to ensure contractual requirements are communicated and followed.
  • Assist General Counsel with contract-related claims, disputes, notices, and other legal matters as needed.
  • Gather, organize, and maintain documentation related to claims, disputes, and litigation.
  • Coordinate document requests, deadlines, and communications with outside counsel and internal stakeholders.
  • Provide additional legal and administrative support to General Counsel as the needs of the business evolve.
