About The Position

This role focuses on managing contracts, ensuring compliance, and supporting legal and procurement processes. The analyst will be responsible for drafting, reviewing, and redlining various agreements, validating template and clause usage, and managing contract lifecycles. The position involves first-line legal triage, escalating complex issues, and maintaining documentation. Additionally, the role requires fostering relationships with stakeholders, supporting sourcing documentation, and ensuring contracts are stored correctly in the CLM system.

Requirements

  • Associate's degree in paralegal studies or a bachelor's degree; or equivalent combination of education and experience.
  • Seven years of contract specialist, or legal analyst experience, with hands-on drafting, reviewing, and redlining of contracts.
  • Strong knowledge of contract fundamentals: indemnity, limitation of liability, confidentiality, data privacy, termination, audit, insurance
  • Working knowledge of healthcare privacy/compliance concepts (HIPAA; basic CMS/ACA awareness for payer contracts)
  • Excellent written and verbal communication; meticulous attention to detail.
  • Strong understanding of contract/commercial terms, including SLAs, BAA requirements, and business continuity.
  • Demonstrated exposure to healthcare regulatory concepts (e.g., HIPAA, awareness of payer regulatory obligations).
  • Strong familiarity with healthcare regulations.
  • Intermediate working knowledge in Microsoft Word, Excel, Outlook, PowerPoint.
  • Experience with SharePoint and document version control.

Responsibilities

  • Draft, review, and edit standard or low-risk agreements, including renewals, amendments, extensions, NDAs, and supporting exhibits, using HMSA templates and playbooks (subject to the direction and oversight of Legal Affairs and the Chief Legal Officer).
  • Ensure contract language aligns with approved legal terms, including confidentiality, data privacy, indemnification, termination, and audit provisions (subject to the direction and oversight of Legal Affairs and the Chief Legal Officer).
  • Manage redlines and version control; maintain clear documentation of rationale for accepted or rejected changes.
  • Validate appropriate template and clause usage for all contract types based on Procurement and Legal requirements.
  • Review agreements for adherence to HIPAA-impacting provisions, business associate requirements, and applicable federal/state payer regulations (subject to the direction and oversight of Legal Affairs and the Chief Legal Officer); escalate deviations to Legal Affairs.
  • Support Legal Affairs and Procurement in periodic updates to templates and clause libraries (e.g., privacy, security, CMS/ACA language).
  • Screen contract intake items for legal complexity, novelty, or risk; handle routine/standard items and escalate non-standard terms to Legal Affairs (pursuant to guidelines approved by the same) as needed.
  • Prepare contract summaries, issue logs, and comparison redlines to streamline review by Legal Affairs.
  • Maintain clear boundaries of practice and operate under the direction and supervision of Legal Affairs.
  • Track contract expirations, auto-renewal dates, and notice windows; prepare renewal packages for Procurement and business owners.
  • Ensure executed contracts are stored in the contract lifecycle management (CLM) system with correct metadata, versions, and obligations.
  • Monitor open items, commitments, and follow-up.
  • Foster effective relationships with business owners, SMEs, and vendor partners.
  • Communicate vendor expectations clearly and ensure alignment with business priorities.
  • Provide guidance to stakeholders on vendor management best practices and governance standards.
  • Prepare and validate legal-related RFx documents (e.g., NDA forms, standard contract exhibits) and support supplier onboarding documentation.
  • Assist with legal Q&A during sourcing events by applying approved positions and escalating exceptions to Legal.
  • Support Procurement in standardizing and maintaining consistent documentation across sourcing processes.
