About The Position

Mantel is developing the first molten-salt-based carbon capture technology designed to operate at the high temperatures found inside boilers, kilns, and furnaces - enabling highly efficient carbon capture that has not been possible until now. Carbon capture can be applied across industries to reduce emissions and achieve net-negative emissions. By solving for efficiency Mantel can cut costs substantially, unlocking carbon capture's role in reaching net zero emissions by 2050. The Senior Commercial Counsel was designed for a specific kind of lawyer: one who has spent years in transactional practice, is genuinely good at it, and wants a bigger stage. As Senior Commercial Counsel, you'll own Mantel's contracts function end-to-end – Master Service Agreements (MSAs), licensing agreements, term sheets, offtake deals - while also having a real seat at the commercial strategy table. You'll shape how deals are structured, not just document them after the fact. This is the right role for a lawyer who finds pure legal practice too narrow. You'll be a genuine partner to the business, not a reviewer at the end of the process.

Requirements

  • 5+ years of transactional legal experience, in private practice or in-house at a technology, energy, or industrial company
  • Startup or early-stage company experience or exposure is a strong asset
  • Law degree required
  • Trained as a lawyer and proud of it - wants to help run and shape the process from the get-go in partnership with commercial colleagues
  • Negotiated real commercial contracts and knows how to take a position, defend it, and close
  • Gives practical advice that moves deals forward and is solution oriented
  • Genuine curiosity about carbon capture, industrial decarbonization, and the commercial landscape Mantel is operating in
  • Comfortable being Mantel's primary legal voice on commercial matters in a company where the legal function is still being built

Responsibilities

  • Own Mantel's commercial contracts end-to-end: draft, negotiate, and close MSAs, NDAs, engineering service agreements, term sheets, licensing agreements, offtake agreements, strategic supply agreements, strategic partnership agreements and project-level commercial contracts
  • Take and defend clear positions on representations and warranties, indemnification, liability caps, IP ownership & governance, and dispute resolution - and know when to hold firm and when to negotiate
  • Develop and maintain standard form agreements and negotiation playbooks that keep Mantel's contracting process efficient and consistent
  • Maintain a clean contracts repository and ensure Mantel's obligations, rights, and key dates are tracked and enforced
  • Develop and manage external counsel relationships where specialized expertise is needed, keeping scope and cost tight
  • Contribute to the strategic framing of commercial deals, not just the legal terms, but the structure, risk allocation, and commercial logic behind them
  • Help Mantel build scalable commercial structures as the company moves from demonstration to full deployment
  • Support due diligence processes for partnerships, project financing, and government grants
  • Serve as a trusted, accessible internal legal resource across the organization - fast, practical, and easy to work with
  • Work closely with the commercial, engineering, and finance teams to understand the deals Mantel is pursuing and the legal risks that actually matter
  • Draft and negotiate term sheets that set the right commercial and legal foundation before full agreements are executed
  • Own Mantel's licensing strategy from a contracts and legal perspective — understanding how IP rights, exclusivity provisions, grant-back clauses, and royalty structures interact with commercial objectives
  • Identify and push back on terms that create undue legal risk or limit Mantel's flexibility as the business scales
