About The Position

The Commercial Counsel will have 2–4 years of in-house or law firm experience with a strong focus on commercial contracting and cross-functional business support. This role will primarily counsel the business on software, services, and vendor relationships; draft and negotiate commercial agreements; and support general corporate legal matters. The ideal candidate is business-minded, collaborative, and comfortable managing multiple commercial workflows in a fast-paced environment.

Requirements

• Juris Doctor from an ABA accredited law school; licensed and in good standing in at least one U.S. jurisdiction.
• 2–4 years of experience in commercial contracting, either at a law firm or in-house.
• Strong drafting, negotiation, and communication skills with the ability to simplify complex legal issues.
• Ability to manage multiple priorities and collaborate with cross-functional business partners.

Nice To Haves

• Familiarity with SaaS, technology contracting, or HCM-related legal issues preferred.

Responsibilities

• Draft, negotiate, and revise a wide range of commercial agreements, including SaaS agreements, vendor contracts, MSAs/SOWs, professional services agreements, data protection addenda, NDAs, and specialty commercial documents.
• Partner closely with Sales, Procurement, Finance, and Operations to support deal cycles and provide practical legal guidance.
• Assist in maintaining and improving contract templates, negotiation playbooks, and internal contracting processes.
• Provide clear, business-oriented legal advice on contract interpretation, risk allocation, data/security terms, and compliance considerations related to SaaS and services offerings.
• Maintain knowledge of SaaS, HCM, and relevant industry best practices for legal risk management.
• Assist with record-management practices and regulatory compliance issues as they arise.
• Partner with Marketing to review press releases, sponsorship agreements, and events related agreements.
• Assist with the management of Company's IP portfolio.
• Help gather documents, maintain case files, and support litigation strategy as needed.
