About The Position

ZT Systems, a Sanmina Company, is seeking an experienced Commercial Counsel to join its Legal team during a pivotal period of transformation and growth. As the company integrates into a Fortune 500 public company environment, this role offers the opportunity to help build the commercial, governance, and operational frameworks that will support the next phase of ZT Systems’ evolution. The Commercial Counsel will advise on complex commercial matters, negotiate strategic transactions, and guide business leaders through challenging legal and operational issues. This position partners closely with Legal, Finance, Accounting, Sales, Business Planning, Operations, executive leadership, customers, and strategic partners. The role is central to supporting industry-leading customers building next-generation AI and cloud infrastructure, and operates at the intersection of technology, manufacturing, supply chain, finance, and commercial strategy. The Commercial Counsel will also help develop legal templates, contracting frameworks, and internal processes, while identifying and mitigating legal and business risks. Requirements

• J.D. from an accredited law school
• Admitted to at least one U.S. bar
• 10+ years of legal experience
• Significant commercial contracting and negotiation expertise
• Strong business judgment
• Practical problem-solving skills
• Ability to manage multiple complex matters

• Experience in technology, hardware, manufacturing, cloud infrastructure, or related industries
• Experience within a public company governance environment
