About The Position

The Legal team at ZT Systems, a Sanmina Company, is seeking an experienced Commercial Counsel to support a business operating at the forefront of AI infrastructure, cloud computing, and advanced manufacturing. This is a unique opportunity to join the company during a period of significant transformation. As ZT Systems continues its integration into a Fortune 500 public company environment, our team is helping build the commercial, governance, and operational frameworks that will support the next phase of growth. The work requires close partnership across Legal, Finance, Accounting, Sales, Business Planning, Operations, executive leadership, customers, and strategic partners. In this role, you will advise on complex commercial matters, negotiate strategic transactions, and help business leaders navigate challenging legal and operational issues. The ideal candidate enjoys solving difficult problems, balancing legal and business objectives, and operating in an environment where success depends on sound judgment, collaboration, and practical solutions.

Requirements

  • J.D. from an accredited law school and admission to at least one U.S. bar.
  • 10+ years of legal experience.
  • Significant commercial contracting and negotiation experience.
  • Demonstrated ability to independently lead transactions and advise business stakeholders.
  • Strong business judgment and practical problem-solving skills.
  • Ability to manage multiple complex matters simultaneously.
  • Excellent written and verbal communication skills.

Nice To Haves

  • In-house legal experience supporting technology, hardware, manufacturing, cloud infrastructure, telecommunications, supply chain, or related industries.
  • Combination of law firm and in-house experience strongly preferred.
  • Experience operating within a public company governance environment.
  • Familiarity with revenue recognition concepts and commercial deal structures.
  • Exposure to datacenter, AI, cloud, networking, or advanced manufacturing businesses.

Responsibilities

  • Negotiate and advise on a wide range of strategic customer and commercial transactions.
  • Partner with business stakeholders to identify risks, evaluate options, and develop practical solutions.
  • Support complex negotiations involving multiple internal and external stakeholders.
  • Work closely with Finance and Accounting on contractual provisions that impact business operations and financial outcomes.
  • Advise on governance, approval, compliance, and control-related matters associated with operating in a public-company environment.
  • Help develop and improve legal templates, contracting frameworks, playbooks, and internal processes.
  • Support a variety of commercial and operational matters as business needs evolve.
  • Identify, communicate, and help mitigate legal and business risks in a practical and business-oriented manner.
