About The Position

eBay’s dynamic global Technology, Marketing, & Commercial Contracts Legal team is seeking an enthusiastic Commercial Counsel to join our team in either Salt Lake City, UT or Austin, TX. This hybrid role requires in-office presence at least three days a week. You will immerse yourself in our business, lead contract negotiations, and provide crucial commercial insights that directly influence our strategic direction. This position involves providing legal counseling and collaborating directly with business units to ensure alignment with business goals and objectives. You will have a direct seat at the table, collaborating with cross-functional leadership on deals that shape our global e-commerce strategy.

Requirements

  • J.D. degree from an ABA accredited law school (or foreign equivalent) and in good standing with a US state bar.
  • 6+ years of negotiating and drafting expertise in sophisticated commercial transactions including software licenses/SaaS, main service agreements, Statements of Work, professional services, and data privacy agreements.
  • Some travel required.

Responsibilities

  • Review, draft, and negotiate complex commercial agreements, including, software licenses/SaaS, marketing, main service agreements, Statements of Work, professional services, and data privacy agreement.
  • Identify and mitigate legal and regulatory risks, including those related to data and privacy protection, security, and AI.
  • Assess legal risks, offering practical guidance on risk management, policy compliance, and contractual obligations.
  • Cultivate strong, collaborative relationships with strategic business partners (including, security, privacy, procurement, finance, and senior leadership), to align legal strategies with business goals for cohesive operations.
  • Undertake special projects and tasks as needed, addressing unique legal challenges and supporting new business initiatives.
  • Use AI tools to enhance legal service delivery and identify creative, responsible ways to improve efficiency, quality, and business support, in reviewing, drafting, and redlining agreements, while applying sound legal judgment to validate AI-generated work.
  • Stay current on relevant laws, regulations, and industry trends impacting commercial contracts.
