About The Position

Tools for Humanity (TFH) is seeking an experienced Commercial and Corporate Counsel to join its legal team. This role is ideal for someone interested in cutting-edge issues related to identity, privacy, AI, hardware, and blockchain. The position will focus on developing the commercialization and go-to-market functions through key deals and maturing the company’s procurement processes. The primary responsibilities include supporting complex commercial transactions, strategic partnerships, enterprise deals, integrations, and other significant business initiatives crucial for company growth. The counsel will collaborate with business development, partnerships, product, operations, finance, and legal teams to structure, negotiate, and execute commercial arrangements across various products, technologies, and markets. This requires strong commercial judgment, practical problem-solving skills, and the ability to balance legal protection with business needs in a dynamic environment. Additionally, the role may involve supporting corporate and strategic transactions, including investments, M&A, governance, and structural initiatives where commercial and corporate aspects overlap. The ideal candidate will possess strong legal training, in-house experience, excellent communication skills, and a collaborative approach, comfortable leading negotiations, advising stakeholders, improving contracting processes, and navigating complex transaction structures.

Requirements

  • 3–6 years as a Commercial or Technology Transactions attorney with meaningful experience at a top-tier law firm and in-house.
  • Significant hands-on experience drafting, negotiating, and managing sophisticated commercial transactions and strategic partnerships.
  • Excellent communicator with the ability to explain complex legal concepts clearly and build strong, trust-based relationships across legal and business teams.
  • Practical, business-oriented problem solver capable of balancing legal risk, commercial objectives, operational realities, and execution speed.
  • Able to generally be in the office in San Francisco, CA.
  • Demonstrates sound judgment, professionalism, discretion, and integrity in all interactions.
  • Positive and collaborative attitude with intellectual curiosity, resourcefulness, and comfort working in a fast-paced, evolving environment.
  • Exceptional attention to detail and organizational skills, with a track record of improving processes.
  • Skilled at managing multiple priorities and solving both traditional and novel legal challenges.
  • Open to occasional international travel and flexible scheduling based on team needs.

Responsibilities

  • Lead the drafting, negotiation, and execution of sophisticated commercial agreements, including strategic partnerships, enterprise customer agreements, technology integrations, SaaS agreements, vendor arrangements, ecosystem partnerships, and other high-impact transactions.
  • Partner closely with business development, partnerships, product, operations, finance, and leadership teams to structure and execute complex commercial arrangements.
  • Advise stakeholders on transaction structure, risk allocation, operational considerations, and negotiation strategy in a practical and business-oriented manner.
  • Support novel and cross-functional deal structures involving emerging technologies, blockchain infrastructure, digital identity systems, AI, and global operational models.
  • Coordinate effectively with subject matter experts across regulatory, privacy, product, IP, employment, security, tax, and corporate legal functions.
  • Contribute to the development and refinement of templates, playbooks, fallback positions, and scalable contracting processes that improve consistency, speed, and business enablement.
  • Support strategic transactions, investments, acquisitions, joint ventures, and other corporate initiatives as needed.
  • Assist with corporate governance matters, including board materials, subsidiary maintenance, consents, resolutions, and related documentation.
  • Help identify and manage legal, operational, and structural risks associated with new business initiatives and partnership models.
