About The Position

Hitachi Rail is looking for an enthusiastic self-motivated Business Affairs Counsel who thrives in a fast-paced environment. The successful candidate is comfortable performing a wide range of tasks from administrative to strategic. The chosen candidate can work 100% remotely, but preference will be given to those who can be based in either Pittsburgh, PA, or Hagerstown MD.

Requirements

  • Minimum of 8 years of law practice experience within the United States
  • Law Degree from an accredited institution or similar relevant education; membership in a Law Society
  • English Proficiency

Responsibilities

  • Provide contractual and risk advice in the United States regarding business development, project procurement and formation, project execution, claims, and business compliance.
  • Take primary responsibility for developing and negotiating contractual documentation and working with teams related to major infrastructure projects, liaising with corporate legal counsel and other departments in US, Canada and Europe.
  • Provide legal support for our business.
  • Development and negotiation of contract documentation for example: Teaming Agreements, JV Contract agreements, Project Head Agreements, Design-Build drop down terms, and key vendor terms.
  • Liaise with corporate legal counsel to achieve concurrence with corporate practices.
  • Participate in overseeing dispute litigation involving company operations.
  • Maintain compliance with all relevant statutory legislation.
  • Work with functional and team leaders to implement and communicate risk management tools.
  • Direct and oversee risk and contractual aspects of Financial Close on projects.
  • Provide legal and commercial support for contracts, tenders, procurement and construction.
  • Provide advice in relation to bonds, warranties, guarantees and other financial securities.
