About The Position

iCapital is seeking a Vice President to join the Legal team with a primary focus on Latin American markets and distribution. This role will support iCapital’s offering of investment products across both U.S. and Latin American jurisdictions, advising on complex cross-border distribution matters, Latin American investment product offering rules, and international regulatory compliance. The ideal candidate brings strong expertise in U.S. and non-U.S. broker-dealer distribution issues, U.S. and Latin American securities regulations for private funds, and preferably Spanish language proficiency to effectively serve our growing Latin American client base. This position requires navigating the intersection of U.S. securities laws and Latin American regulatory frameworks across multiple jurisdictions including Brazil, Mexico, Chile, Argentina, and other key markets in the region.

Requirements

  • 5+ years of fund formation experience within the investment management space
  • Strong knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and FINRA regulations
  • Working knowledge of Latin American fund offering rules and regulatory frameworks private funds and other products
  • Experience with offshore fund structures, Regulation D offerings, and international private placement requirements
  • Member in good standing of Florida Bar, another state or jurisdiction
  • Law firm or in-house experience at an asset management firm or broker dealer is a plus
  • Strong interpersonal and leadership skills
  • Willingness to learn new topics and work in an evolving business environment
  • Organized and detail-oriented with big picture capability

Responsibilities

  • Draft and negotiate agreements with Latin American distribution agents ensuring compliance with both U.S. and local market regulations.
  • Advise on the legal implications of offering new and existing products and services, including private funds, exchange traded notes and local Latin American structures.
  • Coordinate with local counsel across Latin American jurisdictions on regulatory matters, fund formation work, and compliance issues specific to each market.
  • Draft and review private fund offering materials, partnership agreements, and other private fund legal documentation.
  • Review and negotiate side letters, subscription agreements, and investor documentation for Latin American institutional and high-net-worth clients.
  • Support client relationship development and business expansion initiatives in key Latin American markets.
