About The Position

Baker Tilly Canada Capital (BTCC) is seeking an Associate/Senior Associate to join its growing national Transaction Services (TS) team. This role involves participating in due diligence engagements for mergers, acquisitions, divestitures, and capital raises. The position requires a strong understanding of client businesses, financial analysis (EBITDA, working capital, capex, forecasts), GAAP issues, and the production of quality of earnings reports. The Associate/Senior Associate will also support Directors and Partners in client relationship management, work with other transaction advisors, coordinate data rooms, analyze transaction documents, and identify issues related to purchase price, deal structuring, and post-acquisition matters. Market and industry research will also be a component of the role.

Requirements

  • Designated CPA with 1-3 years' experience
  • Interest to attain a finance designation (i.e., CBV or CFA)
  • Attention to detail and strong computer skills (e.g., Excel modeling, Pitchbook, Capital IQ or PowerPoint)
  • Excellent interpersonal relationship and communication skills and demonstrated ability to work effectively with teammates
  • Comprehensive understanding of financial statements including the flow between the income statement and balance sheet, with exceptional analytical perception
  • Demonstrated experience in financial modeling and analysis
  • Client service-oriented approach
  • Superior verbal and written communication skills
  • Review your work and that of others for quality, accuracy and relevance to the deal
  • Clear interest in transactions, corporate finance or corporate development

Nice To Haves

  • Previous experience in Corporate Finance and/or investment banking considered a strong asset

Responsibilities

  • Participate in due diligence engagements related to acquisitions or divestments for private equity investor groups or financial or strategic investors
  • Quickly understand the client business and its drivers, including analysis of EBITDA, working capital, capex, forecasts and underlying assumptions
  • Identify and quantify GAAP issues as they relate to the transaction
  • Produce quality of earnings reports to help our clients avoid acquiring the wrong business and avoid overpaying for the right business
  • Support Directors and Partners in their relationship management, including with current and prospective clients
  • Work alongside financial, legal and other transaction advisors to close deals and build long-term relationships
  • Coordination of data rooms, and analysis of letters of intent and share purchase agreements
  • Identify issues for purchase price changes, deal structuring or post-acquisition issues
  • Conduct market and industry research, benchmarking analysis and data compilation projects to provide relevant information
