About The Position

As an Associate Legal Counsel for Corporate Trust, you will work on structured finance transactions, escrows, Muni & other Corporate Trust transactions by reviewing relevant transaction documentation and providing suggested changes to the documentation necessary to protect Corporate Trust's interests. You will advise administrators on post-closing extraordinary administrative duties of a legal nature, maintain expertise and advise the Compliance Officer and Corporate Trust Relationship Managers regarding risk & compliance matters, and advise the Corporate Trust department on various legal issues. You will also maintain current knowledge on legal and compliance issues that may impact the Corporate Trust department, strategize with management on new opportunities, products and the overall vision of CT, and create and maintain referral relationships with transaction counsel. In conjunction with Sales and Management, you will visit clients and attend industry conferences, work closely with Relationship Managers and Management on ensuring smooth transaction closings, and stay active in the life of trust transactions, assisting with changes made to the transactions.

Requirements

Must have Juris Doctorate or equivalent
Demonstrates ability to read, analyze and interpret complex documents
Has ability to respond effectively to the most sensitive inquiries or complaints

Responsibilities

Review and comment on structured finance documents, escrow agreements, Municipal and Corporate Bond and note documents and other transaction documentation.
Advise administrators on post-closing extraordinary administrative duties of a legal nature.
Maintain expertise and advise Compliance Officer and Corporate Trust Relationship Managers regarding risk & compliance matters.
Advise Corporate Trust department on various legal issues.
Maintain current on legal and compliance issues that may impact Corporate Trust department.
Strategize with management on new opportunities, products and overall vision of CT
Create and maintain referral relationships with transaction counsel
