This role involves managing complex M&A and restructuring transactions, constructing detailed financial models, and providing in-depth quantitative financial analysis. The Associate will also identify market trends, review legal documents, and engage in execution activities. Client interaction, mentorship of Analysts, and preparation of analytical materials for approvals are key aspects of the position.

Requirements

  • Bachelor’s degree in Business Administration, Economics, Finance, Accounting, Mathematics or related field.
  • Two (2) years of financial analysis or related analysis experience in the investment banking industry.
  • Experience performing financial modeling.
  • Experience performing business valuation analysis.
  • Experience in corporate finance.
  • Experience preparing client presentations.
  • Experience with transaction structuring and legal documentation review and analysis.
  • Experience with sector-specific benchmarking and strategic research and insights.
  • Experience in M&A.
  • Knowledge of S&P Capital IQ, Bloomberg and FactSet.
  • Experience using Microsoft Office including Excel, PowerPoint and Word.
  • Knowledge of accounting principles and financial statements.
  • Knowledge of regulatory filing and compliance.
  • Knowledge of transaction due diligence including process management and analytical framework(s).
  • Must have SIE, and Series 7 and 79 licenses.

Responsibilities

  • Manage complex M&A and restructuring transactions including overseeing research and financial analysis of financial implications of mergers and acquisitions.
  • Prepare all offering memoranda and transaction related documents.
  • Manage client presentations and data room preparation.
  • Oversee the due diligence process and valuation.
  • Construct detailed and sophisticated financial models, company valuations and mergers and acquisition transactions comparisons based on research findings and client analysis.
  • Gather industry, regulatory, and economic information, company financial statements, financial periodicals and publications in order to extract relevant data for financial forecasting.
  • Provide in-depth quantitative financial analysis as it pertains to business, industry and economic forecasting.
  • Identify emerging market trends and regulatory changes within the investment and advisory domains and develop strategies to secure investment opportunities and expand the firm’s presence within the market.
  • Review credit documents, merger documents and other legal documents for purposes of analyzing and understanding various transactional-related issues and considerations.
  • Engage in execution activities, including data gathering, in-depth analysis and material preparation.
  • Take responsibility for managing standard processes such as preparing deal documentation.
  • Prepare analytical materials to support necessary credit, compliance, engagement committee and balance sheet approvals.
  • Interpret data concerning price, yield, stability, and future trends in investment risks and economic influences relevant to investments.
  • Conduct corporate operations reviews, portfolio analytic reviews and prepare risk/return valuations and board presentations.
  • Gather and process market share data and shareholder and investor profiles.
  • Interact closely with clients, particularly with client senior management teams.
  • Provide mentorship and supervision to Analysts performing research and analysis on transactions.
