About The Position

The Associate General Counsel will be responsible for providing support to the General Counsel’s office in various legal matters. This includes the negotiation of investment management agreements and private fund subscription agreements, review and negotiation of vendor contracts and non-disclosure agreements, legal research, and fund formation and dissolution. The role also involves reviewing and drafting regulatory and client disclosures (such as 15(c) questionnaires, RFPs, and Form ADV), marketing and advertising review, assisting with regulatory audits, and general corporate work under supervision. The position requires leveraging knowledge of the legal framework applicable to registered investment advisers, including the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, CFTC Rules and Regulations, and ERISA, as well as general corporate law. The Associate General Counsel will provide legal analysis to senior lawyers on day-to-day investment management activities, support legal aspects of various investment relationships, and interpret statutes, rules, and policies applicable to the business. Collaboration with colleagues in the General Counsel’s office is essential to meet business objectives within the local regulatory environment.

Requirements

  • Juris Doctor degree
  • One (1) year of experience as an Associate General Counsel or related position in the investment management legal and regulatory field
  • Member of the bar in Massachusetts or other U.S. state
  • Knowledge of legal framework applicable to registered investment advisers, including Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, CFTC Rules and Regulations, and ERISA
  • Experience in corporate law

Responsibilities

  • Performing legal analysis leveraging knowledge of legal framework applicable to registered investment advisers, including Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, CFTC Rules and Regulations, and ERISA, as well as general corporate law
  • Providing legal analysis to senior lawyers in connection with their advice on day-to-day investment management activities
  • Supporting all legal aspects of Loomis’s separate account, private fund, SMA/wrap, group trust, and sub-advisory relationships
  • Providing initial interpretations of statutes, rules and policies applicable to the business
  • Working closely with colleagues in the General Counsel’s office to meet the firm’s business objectives within the local regulatory environment
  • Interpreting laws, rulings and regulations for individuals and businesses
  • Preparing, drafting, and reviewing legal documents
