About The Position

Assists the Sr. Vice President, Chief Legal Officer, Deputy General Counsel, Capital Health Medical Group (CHMG), and members of Capital Health Management Team, in particular, the Sr. Vice President & Chief Administrative Officer of CHMG, the Chief Medical Officer of CHMG and other members of the CHMG Management Team, by providing legal advice and counsel on a range of topics within the general practice areas, including but not limited to, real estate, vendor, practice acquisitions, provider employment, provider independent contractor contracts and negotiates contracts to fit the needs of Capital Health (CH) and CHMG, supporting transactions of various natures, assisting in analysis and mitigation of compliance issues and identifying new or emerging areas of risk, and conducting or overseeing legal research. Provides legal advice and services to CHMG Management Team and affiliated corporate entities for a wide range of operational initiatives and health care legal and regulatory compliance issues that have a significant impact on patient care and business operations for a dynamic and growing non-profit healthcare system. Protects Capital Health's rights in contract negotiations, settlements and litigation. Reviews and approves legal sufficiency of contracting activities to ensure compliance with applicable statutes, case law, government regulations, and policy guidelines. Provides legal direction for risk management, including loss prevention, occupational safety and compliance with federal and state requirements applicable to CH operations. Assists senior legal counsel in legal research and litigation duties. Assists in accurately maintaining contract system. Advises and counsels CHMG Management Team, as appropriate, on legal issues including but not limited to, updates on changes in federal, state and local laws and regulations. Reviews and updates CHMG policies for legal sufficiency.

Requirements

Juris Doctorate from an accredited law school.
Membership in at least one state bar with the ability to qualify to practice in New Jersey is required.
Two years of previous experience with analyzing, advising, negotiating and drafting legal issues and contracts related to healthcare operations, including physician, clinical and vendor arrangements, as well as an in-depth understanding of medical director, call coverage, and hospital-based arrangements; fair market value and physician compensation methodology analysis; Fraud and Abuse (Stark, Anti-Kickback and False Claims Act) compliance; corporate governance; healthcare transactions, including mergers, acquisitions, divestitures, joint ventures and co-management arrangements; and non-profit tax issues.
Strong health care contract negotiation and drafting skills, including in the area of physician contracting.
Solid understanding and experience working on health care transactions.
Solid experience and understanding of the federal health care regulatory and enforcement environment and state equivalents.
Experience and working knowledge of tax exemption requirements for non-profit health care providers.
Proficient with Microsoft Office, including Outlook, Word, and Excel.
Possesses ability to handle complex legal matters independently, and advise the company with creative solutions to problems with little or no supervision.
Ability to work in a fast paced, complex organization.
Excellent written and verbal communications skills and the ability to translate legal complexities into terms readily understood by management and line personnel.
Demonstrates effective client and project management, managerial and leadership skills.

Responsibilities

Collaborates with key stakeholders to draft and review corporate documents, such as articles, bylaws, operating agreements, board resolutions and minutes, policies and credentialing determinations.
Drafts, reviews, negotiates and approves various physician and clinical services and vendor contracts relating to the operations of Capital Health and CHMG, with a particular emphasis on providing legal compliance analysis and contract preparation services for physician relationships and awareness of the nexus with medical staff issues. Identifies and analyzes issues arising in connection with contracts, while advising and engaging in creative problem solving with CHMG Management Team and contract stakeholders.
Coordinates and manages significant transactions, including developing appropriate transaction structures, managing and participating in due diligence to identify legal risks or needs and ensure inclusion of appropriate requirements, preparing transaction documents, obtaining corporate and regulatory approvals, and implementing the transaction post-closing.
Researches and interprets federal and state laws, regulations, interpretive guidelines, advisory opinions and court cases for corporate and health care issues. Provides analysis and advice on legal matters related to regulatory requirements, and provides legal guidance on the development and maintenance of policies, programs or practices.
Partners with the Compliance Department and provides legal services in support of the CH Compliance Program. Analyzes and evaluates various compliance-related matters and assists in developing corrective action and mitigation strategies.
Provides guidance on the management of claims/litigation and coordinates with key stakeholders to evaluate merits of claims/litigation and manage through the settlement or denial process. Ensures coordination of services for consultation and direction for key stakeholders, including preparation of pleadings, witnesses, and representation at hearings.
Drafts and presents training programs on legal topics in support of the organization’s Compliance Program and overall commitment to compliance.
Assists other less experienced professionals, paraprofessionals and other support staff in developing solutions to the various matters presented to the Legal Department.
Works effectively and efficiently with, and manages relationships with, external professionals, including legal counsel and fair market value and business consultants.
