About The Position

The Associate General Counsel is CSC's dedicated contracting attorney, owning a high-volume deal pipeline and building the scalable contracting processes and playbooks that let the business grow with discipline. Reporting directly to the General Counsel, this role is centered on negotiating and documenting the agreements that drive CSC's equipment financing business, while also supporting the General Counsel across the broader legal function. This individual owns CSC's contracting playbooks, ensures consistent enforcement of negotiating positions, and serves as the primary point of contact with counterparty counsel on deal terms. Requirements

  • J.D. from an accredited law school and an active license to practice law.
  • 3–5 years of relevant transactional/contracting experience.
  • Excellent communication skills and ability to collaborate across teams.
  • Strong organizational skills, comfort with ambiguity, and a proactive mindset.
  • Manage multiple ongoing deals and initiatives — contract negotiation, deal flow management — with strong attention to deadlines and detail.
  • Work effectively with the General Counsel, business teams, cross-functional teams, and outside/counterparty counsel in a dynamic, fast-paced environment.
  • Leverage platforms like Microsoft Office, AI tools, Salesforce, and DocuSign to streamline documentation, reporting, and communication.
  • Develop, refine, and own internal contracting processes that enhance efficiency, control risk, and ensure scalability.
  • Review, interpret, negotiate, and draft legal agreements with precision and clarity, ensuring alignment with CSC's risk standards and business needs.

Nice To Haves

  • Big law experience with a focus on commercial transactions, finance, or equipment leasing.
  • In-house experience at a bank, equipment finance company, or other financial institution.
  • Familiarity with UCC Article 9, secured lending, and equipment finance structures.
  • Experience with HaaS/SaaS agreements.
  • Strong preference for candidates with proficiency in AI-powered legal tools (e.g., contract review AI, legal research platforms, document automation) and a demonstrated ability to integrate AI into day-to-day legal workflows.
  • Experience in leasing, fintech, or VC-backed environments.

  • Master Lease Agreements (MLAs) and equipment schedules
  • Guaranty and other financial agreements
  • Non-Disclosure Agreements (NDAs), including ownership of the NDA pipeline from intake to execution
  • Vendor agreements and procurement contracts
  • Hardware-as-a-Service (HaaS) agreements
  • Landlord Lien Waivers (LLWs)
  • Ancillary deal documentation
  • Assist the General Counsel across all legal matters, including litigation, bankruptcy, and regulatory matters as needed.

Benefits

  • $120,000–$155,000 base salary + bonus based on company performance.
