About The Position

The Associate General Counsel Senior serves as a key legal advisor on securities law, public company reporting, corporate finance, investment and derivative transactions, and related matters. This role partners closely with senior leaders in Legal, Finance, Treasury, Investor Relations and Tax and has primary legal responsibility for several areas of significant enterprise risk and strategic importance. The position requires sophisticated legal and business judgment, the ability to advise on complex and time-sensitive matters, and deep expertise in public company securities law and corporate finance. The attorney will provide practical, business-oriented counsel to executives and management and will serve as a recognized subject-matter expert on matters with broad organizational impact.

Requirements

Requires a JD, current license to practice law and minimum of 15 years of specific industry and/or technical legal experience post licensure including experience in managing outside counsel; or any combination of education and experience, which would provide an equivalent background.

Nice To Haves

Extensive experience advising a large, complex public company on securities-law compliance and SEC reporting requirements preferred.
Deep experience with Forms 10-K, 10-Q and 8-K, Section 16 reporting and related SEC requirements preferred.
Strong knowledge of NYSE or comparable public company listing standards preferred.
Demonstrated experience leading the legal aspects of debt capital-markets transactions and other corporate finance matters preferred.
Experience advising on disclosure controls, Regulation FD, insider trading and executive and director securities matters preferred.
Experience with institutional investment transactions, alternative investments or tax-credit investments preferred.
Proven ability to advise senior executives on complex, time-sensitive matters requiring significant legal and business judgment preferred.
Demonstrated ability to manage outside counsel and lead cross-functional teams on significant matters preferred.
Excellent written and verbal communication skills, including the ability to translate complex legal requirements into concise, practical advice for senior leadership preferred.
Strong judgment, executive presence and ability to operate effectively in a highly complex, matrixed organization preferred.
Demonstrated interest in and experience using artificial intelligence, legal technology and other emerging technologies to improve legal analysis, workflows, efficiency and service delivery preferred.

Responsibilities

Advises on securities law compliance, including Exchange Act reporting, disclosure requirements, Regulation FD, insider trading, Section 16 compliance, disclosure controls and materiality determinations.
Partners on the preparation and review of Forms 10-K and 10-Q.
Leads the preparation and review of Forms 8-K, Section 16 filings and other SEC filings.
Serves as legal lead for compliance with public company listing standards, including NYSE governance, disclosure and filing requirements.
Oversees the Company's Insider Trading Policy and related compliance processes.
Oversees Section 16 reporting and advises directors and executive officers regarding applicable reporting obligations.
Advises on shareholder services and related securities and governance matters.
Advises on quarterly earnings releases, earnings-call materials, investor presentations and other investor communications.
Partners with Investor Relations, Finance and senior management on disclosure matters arising in connection with earnings and other significant investor events.
Provides legal counsel regarding disclosure judgments, materiality assessments and other securities-law considerations affecting public communications.
Serves as legal lead for corporate finance and capital-markets matters, including public and private debt offerings, shelf registration statements, credit facilities, commercial paper programs, corporate guarantees and share repurchases.
Advises Treasury, Finance, Tax and senior management on the legal and regulatory implications of financing transactions and capital-management activities.
Manages outside counsel and coordinates cross-functional legal support for significant financing transactions.
Serves as legal lead for designated investment transactions, including alternative investments and tax-credit investments and agreements.
Advises on the structuring, negotiation and execution of complex investment transactions in coordination with business, Finance and Tax stakeholders.
Manages outside counsel on derivative transactions, including ISDA master agreements and related counterparty and regulatory matters.
Provides practical, business-oriented legal advice on novel, complex and high-risk matters requiring significant judgment and having broad enterprise impact.
Serves as a recognized subject-matter expert, applying sophisticated legal and business judgment to complex securities, finance and transactional matters.
Conducts legal research regarding significant legal principles, regulatory developments and precedents and consults with outside counsel regarding legal strategy when appropriate.
Assesses and mitigates legal and organizational risk on highly complex and challenging matters.
Provides concise, timely and actionable briefings to senior business and legal leaders.
Confers regularly with senior leaders in Legal, Finance, Treasury, Investor Relations and Tax.
Develops legal strategies, approaches and processes designed to support enterprise objectives and improve the effectiveness of legal service delivery.
Provides substantive direction, mentoring and matter-specific oversight to other attorneys and legal professionals while remaining primarily an individual-contributor subject-matter expert.
Manages outside counsel efficiently and effectively, including the development of legal strategy, allocation of work and oversight of legal spend.
