About The Position

Masterworks is seeking a talented and motivated Associate General Counsel to join our legal and compliance team, reporting directly to the General Counsel. As Associate General Counsel, you will play a crucial role in the company's SEC filings and compliance with applicable U.S. federal securities laws, corporate transactions, and a broad range of general corporate matters. Requirements

  • 4 - 7 years of experience as a practicing attorney, with some experience at a nationally recognized law firm strongly preferred
  • A securities, capital markets, M&A, funds, or general corporate background is preferred, but we will prioritize exceptional ability over directly relevant experience; familiarity with the Securities Act of 1933 and the Investment Company Act of 1940 is helpful, but not required
  • J.D. with outstanding academic credentials; admitted to a U.S. state bar in good standing
  • Demonstrated facility with technology, including fluency with AI tools and a genuine interest in integrating them into legal workflows
  • A business-minded professional capable of balancing legal and compliance considerations with business objectives
  • Exceptional attention to detail, analytical rigor, practical commercial judgment, and excellent written and verbal communication skills

Responsibilities

  • Preparing and reviewing offering circulars, ongoing Regulation A reporting, and related SEC filings, and supporting compliance with U.S. federal securities laws across the company's offering, trading, and investor communication activities
  • Assisting with regulatory analysis relating to the company's investment vehicles and new product structures
  • Supporting corporate transactions, including financings, strategic partnerships, reorganizations and similar corporate transactions
  • Drafting and negotiating commercial arrangements and agreements with business partners, vendors, and service providers
  • Preparing and maintaining governance documents for the company's investment vehicles and parent entity, and assisting in the development and implementation of compliance policies, procedures, and controls
  • Providing support across employment/HR matters, intellectual property, data privacy, Terms of Use, marketing review, and other general corporate matters, working cross-functionally with the financial operations, marketing, HR, and art acquisition teams
