About The Position

Webflow is seeking an Associate General Counsel, Corporate to lead its corporate legal function. This role will focus on corporate governance, preparing for public company status, and managing strategic transactions. The position is crucial for supporting Webflow's growth and development, requiring a balance of legal compliance and business acumen. The role is remote-first within the United States and is a full-time, permanent, exempt position.

Requirements

  • JD degree with at least one active bar membership.
  • 10+ years of relevant experience.
  • Experience at a nationally-recognized law firm.
  • Experience with late stage private and public company experience.
  • Experience with securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements.
  • Experience with driving public company readiness, or managing public company compliance.

Responsibilities

  • Manage preparation for board and committee meetings, including preparing materials and maintaining corporate records and minutes.
  • Advise on corporate governance practices.
  • Oversee the corporate structure and subsidiary governance.
  • Ensure compliance with regulatory requirements across all jurisdictions.
  • Lead legal due diligence for M&A activities.
  • Negotiate transaction documents for M&A.
  • Manage post-acquisition integration from a legal perspective.
  • Negotiate and draft complex commercial agreements, financing documents, and other strategic transactions.
  • Drive public company readiness, including coordinating due diligence and working with external counsel.
  • Lead the internal employment function.
  • Manage litigation efforts.
  • Develop and implement a securities law compliance program and insider trading policies.
  • Develop and implement a SOX compliance framework, including internal controls, disclosure procedures, and certification processes.
  • Build and lead Webflow’s corporate legal team.
  • Manage outside counsel relationships.
  • Optimize and create scalable corporate legal processes and operations.
