About The Position

We are looking for a sharp, commercially minded attorney who has been trained in a top firm environment and is ready to apply that skill set where the work directly drives business outcomes. This role sits inside the business, not beside it. You will work directly with the General Counsel and alongside our finance, operations, and commercial leadership teams on a wide range of legal and strategic matters that drive our company. Requirements

  • Degree from an accredited law school; active bar membership in good standing.
  • 3 to 7 years of experience at a full-service law firm, with strong preference for construction, project development, M&A, or commercial transactions practice groups; top 150 firm experience preferred.
  • Demonstrated experience drafting and negotiating complex commercial agreements with sophisticated counterparties, ideally in construction, infrastructure, real estate, or adjacent industries.
  • Commercial instincts: the ability to spot the business issue inside the legal one and exercise sound judgment on when to push back and when to move forward.
  • Polished written and verbal communication; comfortable presenting to and advising senior leaders.
  • Self-starter with the ability to manage competing priorities, work independently, and bring matters to resolution in a fast-paced environment.
  • Low ego, high output. You will be in the room where decisions get made and expected to add value quickly.

Responsibilities

  • Draft, negotiate, and manage complex construction and commercial agreements often under compressed timelines with sophisticated counterparties on large-scale digital infrastructure and industrial projects.
  • Advise commercial and operations leadership on contract risk and deal structure early in the sales and development cycle, not after terms are set.
  • Support bid and proposal processes by reviewing contract terms, flagging risks, and helping shape the commercial position CEC takes to market.
  • Develop and maintain contract templates, playbooks, and internal review processes that scale with a growing business.
  • Partner with finance and executive leadership on M&A activity, including letters of intent, purchase agreements, due diligence, and integration.
  • Support project development transactions, including deal structuring, joint venture documentation, and related corporate matters.
  • Identify legal and commercial risk early and translate it into clear, actionable guidance for non-legal leaders — in clear, practical terms.
  • Advise operations and project leadership on contract disputes, claims management, and pre-litigation risk mitigation across a national project portfolio.
  • Work with human resources on employment matters, policy development, and compliance across a distributed workforce.
  • Support regulatory, licensing, and corporate governance requirements across the jurisdictions in which CEC operates.
  • Manage outside counsel effectively when specialized expertise is required.
  • Performs other duties as needed to support projects, operations, and the department.
