Associate General Counsel, Commercial Contracts

AnySignalLos Angeles, CA
$170,000 - $220,000Onsite

About The Position

AnySignal is developing the next generation of RF products and services for some of the most demanding space and defense missions. We’re building a flexible, high-performance platform that’s easy to deploy, monitor, and scale, enabling customers to bring advanced radio technologies to life faster than ever before. We're building the legal team at AnySignal. You'll partner directly with our General Counsel and own commercial contracting end to end, from customer and vendor agreements through subcontracts and teaming arrangements. This is a broad seat. You'll spend most of your time on commercial work, but at a company our size the legal function covers everything: employment questions, corporate governance, IP, compliance, and the occasional problem nobody has seen before. You'll take real ownership of the contracting function and build the process, templates, and playbooks that let it scale past you. We don't need you to have worked in a fast moving defense start-up (although it wouldn’t hurt!) We need you to be a strong commercial lawyer who is comfortable making decisions without a committee, and who can pick up a new regulatory regime quickly and own their decisions.

Requirements

  • J.D. and active membership in the California State Bar, or registration as California Registered In-House Counsel with a clear path to California admission.
  • 2+ years of practice, with meaningful time spent drafting and negotiating commercial agreements. A mix of law firm and in-house experience is ideal, but strong candidates from either background will be considered.
  • Demonstrated ability to run a negotiation independently and give a clear answer under time pressure.
  • Working knowledge of California employment law, or the appetite and ability to get there quickly.
  • Comfort with ambiguity and a bias toward unblocking the business rather than cataloging risk.
  • Ability to work onsite in Torrance, CA.
  • U.S. citizen, lawful permanent resident, protected individual under 8 U.S.C. 1324b(a)(3), or eligible to obtain the necessary authorizations from the U.S. Department of State.

Nice To Haves

  • Experience at a hardware, manufacturing, aerospace, or defense-adjacent company.
  • Familiarity with FAR and DFARS flow-downs, ITAR, EAR, or CMMC.
  • Experience supporting a venture-backed company through financing rounds.
  • Experience standing up a legal or contracts function at an early-stage company.
  • Comfort with technical subject matter and engineering counterparts.

Responsibilities

  • Own commercial contracting. Draft, negotiate, and close customer agreements, MSAs, statements of work, supply and vendor agreements, T&Cs, NDAs, subcontracts, and teaming agreements.
  • Negotiate directly with customers, primes, and suppliers, and serve as the business's primary legal partner in deal cycles.
  • Build the contracting infrastructure: templates, playbooks, approval thresholds, and a contract lifecycle system that gives the company visibility into its obligations.
  • Advise on California employment and workplace matters in partnership with the People team.
  • Support corporate work including equity administration, board and entity records, and financing diligence.
  • Support compliance across export control, government contracting flow-downs, and data and security obligations.
  • Take the recurring legal work that currently sits with the General Counsel and make it a repeatable process.
