About the Role Fluidstack is seeking an exceptional and experienced Associate General Counsel to serve as a key advisor to the General Counsel and executive leadership, with primary responsibility for corporate finance and strategic transactions (including capital markets transactions, mergers and acquisitions and joint ventures),. You will be responsible for supporting the Company’s financing strategies that support our AI growth and data center expansion and optimize long‑term capital.

Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • Minimum of 12+ years of sophisticated legal experience (mix of firm and in-house strongly preferred)
  • Strong working knowledge of corporate law, regulatory compliance, and enforcement, and the technical skill to manage legal issues across complex corporate structures and varied business transactions.
  • Demonstrated ability to exercise sound judgment in ambiguous, high-stakes situations.
  • Excellent written and verbal communication skills.
  • The right candidate must be able to work in a fast-paced environment, operating under tight deadlines, while contributing thoughtful and high-quality output.
  • Strong organizational and high ownership skills are required, including the ability to autonomously drive projects and take end-to-end responsibility. You must also be a strong team player, creative and flexible in approaching and solving problems, enthusiastic and curious about our business, and willing to take risks while learning and growing along the way.

Nice To Haves

  • Experience supporting a public company or advising public-company clients, ideally including exposure to SEC reporting, governance and disclosure matters.
  • Experience with datacenter and related infrastructure.
  • Experience implementing scalable compliance frameworks.

Responsibilities

  • Support and advise on a wide range of corporate, regulatory and compliance matters, including entity formation, corporate governance, intercompany agreements, board and committee materials, investor transactions, and investigations.
  • Partner with functional groups within the Company on corporate and commercial transactional work, lending/financing matters, treasury operations, business operations, and risk management.
  • Manage and support strategic transactions, including joint ventures, from early structuring and due diligence through execution and integration.
  • Translate complex legal and regulatory concepts into actionable, plain-English advice for business leaders.
