About The Position

This hybrid role provides day-to-day general legal support for Pratt & Whitney’s entity management function as a corporate governance attorney. It also involves supporting strategic transactions, including capital projects, and opportunities related to foreign and domestic governmental incentives. Requirements

  • Juris Doctor Degree (J.D.).
  • 10+ years of professional experience.
  • 5+ years of experience at a law firm and/or in-house.
  • Good standing with a state bar association.
  • In-house counsel registration in a timely manner following hire.
  • U.S. Citizen - U.S. citizenship is required to access certain necessary systems or sites.
  • Must be authorized to work in the U.S. without company immigration sponsorship now or in the future.

Nice To Haves

  • Substantial corporate transactions experience, including entity reorganizations, mergers and acquisitions, capital increases, formations, dissolutions and liquidations.
  • Experience with corporate governance matters, including compliance for domestic and international entities.
  • Experience with governmental incentives transactions.
  • Comfortable working in a fast-paced, business driven, dynamic environment.
  • Ability to think and work proactively and strategically.
  • Sound judgment and attention to details.
  • Demonstrated capacity to actively solve complicated legal and business problems.

Responsibilities

  • Provide day-to-day general legal support for Pratt & Whitney’s entity management function as corporate governance attorney.
  • Support strategic transactions including capital projects.
  • Support foreign and domestic governmental incentives opportunities.
  • Advise boards of directors and management on their legal duties and responsibilities.
  • Draft various board and shareholder resolutions and certifications.
  • Review, draft, and negotiate commercial contracts, including large capital projects.
  • Coordinate with other subject matter experts and stakeholders.
  • Manage outside counsel effectively.
  • Proactively and strategically identify and resolve legal issues.
  • Actively solve complicated legal and business problems.
  • Interact effectively with multiple levels of the organization.
  • Maintain strong relationships with peers, internal clients, and external customers.
