About The Position

Ramp is seeking an Associate Counsel, Commercial to join its Legal team. This role will partner with Sales, Partnerships, Procurement, and other cross-functional teams to support Ramp's growth. The Associate Counsel will review and negotiate commercial agreements, provide legal guidance, and help develop scalable processes to manage legal risk while enabling business velocity. This position is ideal for an attorney who thrives in a fast-paced, high-growth environment and aims to become a trusted business partner. Requirements

  • J.D. from an ABA-accredited law school.
  • Licensed to practice law in at least one U.S. jurisdiction.
  • 3–5 years of legal experience, including experience reviewing and negotiating technology, SaaS, data processing, or other commercial agreements.
  • Strong written and verbal communication skills with the ability to explain legal concepts clearly to business partners.
  • Sound judgment and the ability to balance legal risk with business objectives.
  • Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
  • A collaborative mindset and willingness to learn from teammates while taking ownership of your work.
  • Interest in using AI and technology to improve legal workflows and team efficiency.

Nice To Haves

  • In-house experience at a technology or high-growth company.
  • Experience with contract lifecycle management tools such as Ironclad.
  • Experience working with cross-functional teams including Sales, Procurement, Security, or Product.
  • Demonstrated interest in building scalable legal processes and leveraging technology to improve operations.

Responsibilities

  • Review, draft, and negotiate a variety of commercial agreements, including customer agreements, procurement agreements, partnership agreements, and vendor contracts.
  • Partner closely with Sales, Partnerships, Procurement, Security, and other cross-functional teams to provide practical legal advice throughout the deal process.
  • Identify legal risks and recommend commercially reasonable solutions that support business objectives.
  • Help improve the efficiency of contract negotiations by contributing to legal playbooks, templates, and standard contractual language.
  • Support initiatives to streamline legal workflows, including leveraging AI tools and automation where appropriate.
  • Assist with training internal stakeholders on contracting best practices and company legal positions.
  • Contribute to process improvements that help the Legal team scale alongside the business.
