Associate, Corporate Development

Spotnana•New York, NY
•$104,000 - $150,000

About The Position

This is a high-impact role at the center of Spotnana's business, reporting directly to the Chief Corporate Development Officer. The Associate will lead diligence workstreams, drive integration planning and execution, and support the evaluation of new opportunities, working regularly with the C-suite and leaders across the company. As an early member of the Corporate Development team, the Associate will also help build the tools, playbooks, and processes that shape Spotnana's approach to M&A and critical partnerships. Diligence and integration are expected to account for roughly 60–70% of the role, with deal evaluation and execution making up the remaining 30–40%. Responsibilities include managing diligence from end to end; coordinating internal leads and external advisors; translating diligence findings into implications for valuation, deal structure, and integration; supporting integration management offices and post-merger integration; tracking synergies and post-close commitments; building acquisition financial models; researching potential targets; and preparing recommendations and investment materials for the C-suite and Board. The role also develops repeatable tools and templates for diligence, integration, and transaction modeling. The position requires 2–4 years of relevant experience and a bachelor's degree in a related field. Travel may be needed during active diligence and integration. Compensation includes a location-dependent annual base salary range, performance bonus, company equity, and benefits.

Requirements

  • 2–4 years of experience in strategy or operations consulting, investment banking, or transaction advisory, with direct involvement in M&A transactions.
  • Demonstrated experience running workstreams or projects with multiple stakeholders, ideally including diligence or post-merger integration.
  • Strong financial modeling skills, including the ability to build a transaction model from scratch.
  • Excellent written and verbal communication, including experience preparing materials for senior executives.
  • Comfort with ambiguity and the ability to drive work forward without direct authority over the people involved.
  • Willingness to travel as needed during active diligence and integration.
  • Bachelor's degree in business, finance, economics, engineering, or a related field.

Nice To Haves

  • Experience on the buy side or on integration projects, as opposed to only sell-side or strategy work.
  • Exposure to travel, travel technology, or B2B software.
  • Experience building templates, playbooks, or repeatable processes.
  • MBA or relevant professional certification, such as CFA or CPA, though not required.

Responsibilities

  • Plan and manage diligence processes end to end, including scoping workstreams, coordinating internal functional leads, and managing external banking, accounting, legal, and consulting advisors.
  • Pressure-test diligence findings and translate them into implications for valuation, deal structure, and integration planning.
  • Manage data room reviews, track open issues, and prepare diligence summaries for senior leadership.
  • Help run integration management offices for acquisitions, including workstream planning, governance cadence, and progress reporting.
  • Drive Day 1 readiness and post-merger integration across functions including finance, HR, IT, product, engineering, and commercial teams.
  • Build and maintain synergy tracking, measure realized value against the deal model, and flag risks early.
  • Manage transition services agreements and other post-close commitments.
  • Build and own financial models for potential acquisitions, including valuation, synergy analysis, and accretion/dilution.
  • Research and screen potential targets in support of the acquisition strategy.
  • Prepare investment materials and recommendations for the C-suite and Board.
  • Develop repeatable tools and templates, including diligence checklists, integration playbooks, and model templates.
