About The Position

We are seeking a pragmatic Associate Corporate Counsel. You will advise on drafting and negotiating a broad range of commercial agreements with vendors. You will serve as a trusted legal advisor to Supply Chain, Information Technology and other functions and business units, helping manage risk while enabling business objectives. You will report to Senior Corporate Counsel. While this is a remote role - this person must be within 2 hours driving distance from our offices in one of these locations (eastern and central time zones): Andover, MA (preferred) Rochester, NY Rock Hill, SC Broomfield, CO

Requirements

  • JD degree from an American Bar Association accredited law school and admitted in good standing to practice law in at least one state in the U.S.
  • 5+ years of experience in commercial law (in-house legal department preferred)
  • Must have demonstrated experience drafting and negotiating complex commercial agreements, particularly SaaS and other IT contracts.
  • Ability to provide clear, pragmatic advice in a business-focused environment.
  • Strong interpersonal and excellent written and verbal communication skills and ability to collaborate effectively across functions
  • Comfortable balancing legal risk with commercial objectives.
  • Highly organized, detail-oriented, responsive and ability to work independently
  • Proficient in Microsoft Office product suite, including Word, Excel and PowerPoint
  • Must be within 2 hours driving distance from our offices in one of these locations (eastern and central time zones): Andover, MA (preferred) Rochester, NY Rock Hill, SC Broomfield, CO
  • Eligible to work in the United States.
  • Reside in states where we are registered to do business.

Nice To Haves

  • Experience with technology R&D and manufacturing companies preferred
  • Experience with data privacy laws preferred

Responsibilities

  • Partner closely with Supply Chain, Procurement, Information Technology, and business units to support global sourcing, manufacturing, and logistics
  • Draft, review, negotiate, and advise on a wide variety of agreements, including master supply agreements, SaaS agreements, consulting and professional services agreements, data privacy agreements and non-disclosure agreements
  • Build strong relationships with internal stakeholders and provide proactive, business-oriented advice to the business.
  • Support negotiation strategy and contract standardization initiatives, including development and maintenance of policies, processes, templates and playbooks
  • Assist with resolving commercial disputes and contract interpretation questions.
  • Provide support for M&A activities and other strategic transactions
