About The Position

Supports legal aspects of commercial loan and other legal transactions. Provides legal advice, including direction on transactional matters, and other general legal issues. Assists more senior level attorneys in the provision of legal advice to in-house clients, litigation, transactions and other legal matters. Reviews legal publications and pending legislation and advises management of changes that impact CoBank. Executes smaller, less complex tasks delegated by more senior level attorneys and may represent CoBank in negotiations.

Requirements

  • JD From an approved law school required
  • Admission in state bar required
  • 2 years of experience representing lenders and borrowers in negotiating, documenting, and closing a wide range of commercial financing transactions required
  • 1 year of CoBank Legal Residency experience required
  • Knowledge of other areas of law related to transactions (e.g., environmental law)
  • Basic knowledge of the laws and regulations affecting the Farm Credit System
  • Basic knowledge of corporate and commercial law in the context of commercial loan transactions, including real estate and personal property collateral, participations, and syndications.

Responsibilities

  • Supports and participates in the documentation of commercial loan transactions.
  • Consults with and advises relationship managers and other associates concerning these transactions.
  • Provides legal services, legal counsel, guidance, recommendations, and proactive advice, in consultation with his/her supervisor, on legal issues to assigned individual banking groups/divisions/management.
  • Conducts legal research and issues legal opinions.
  • Prepares, reviews, negotiates and/or interprets various legal instruments and documents of all types such as contracts, confidentiality agreements, leases, loan agreements, collateral documents, organizational documents and other agreements.
  • Reviews and analyzes loan or lease and collateral documentation and drafts legal audits memoranda for assigned individual banking groups.
  • Reviews paralegal work on various matters, including signatory authority reviews, collateral summaries and title insurance issues.
