About The Position

We are seeking a skilled, business-minded Associate Commercial Counsel to join our commercial contracts team. This role involves drafting, reviewing, and negotiating a high-volume caseload of technology and commercial agreements, working end-to-end with the support of AI-native workflows and senior attorneys. The practice is technology-industry-focused, and we are looking for someone genuinely excited about this field. This is a transactions-heavy role with immediate impact, where you will learn to identify critical risks, expedite deal progression, and develop judgment under the guidance of experienced counsel. We are open to strong drafters from other practice areas interested in transitioning to commercial and technology contracts, as well as candidates with prior experience in this field. This is a high-growth role with a clear trajectory towards increased ownership and responsibility as your track record develops.

Requirements

  • JD from an accredited law school with active bar membership in good standing.
  • 3+ years of experience in commercial contracts, technology transactions, or another drafting-heavy practice area.
  • Genuine interest in the technology industry, or better yet, exposure to it already—and using AI and technology as part of your own practice, is a must.
  • Comfortable moving quickly without sacrificing quality; you know how to separate real risk from noise.
  • Strong written and verbal communication skills; comfortable advising business stakeholders directly.
  • Self-directed with strong collaborative instincts—you know when to loop in senior counsel.
  • You are fast and good.
  • You use AI tools in your practice today, not theoretically.
  • You produce clean, sophisticated work product.
  • You communicate directly: clear recommendations, appropriate caveats, no filler.
  • You’re committed to growth—you want structured feedback and are excited to build deep expertise over time, not just complete tasks.
  • You’re curious about technology and genuinely interested in using AI to change how legal services are delivered, not just tolerating it because the firm asks you to.
  • You separate real risk from noise, and you’re not afraid to make a call and move a deal forward.
  • If you’re coming from a different drafting-heavy practice, you’re excited to retool rather than intimidated by it.

  • You’ve helped build or improve legal workflows, contracting processes, or procedural frameworks—or you’re excited to start.

Nice To Haves

  • Law firm experience preferred, but we’re open on background—including in-house, legal tech, or associates from other drafting-heavy practices (e.g., real estate, finance) who are interested in retooling into commercial and technology contracts. We’ll train the right candidate.
  • You've improved a legal intake, playbook, or contracting process.
  • You have a vertical or subject matter you'd love help grow.

Responsibilities

  • Draft, review, and negotiate a high-volume of technology and commercial agreements, including SaaS, vendor, licensing, and partnership agreements.
  • Identify the risks that actually matter in a negotiation, and know which points are worth pushing on—and which aren’t.
  • Take on increasing ownership of matters end to end, from intake through execution, as you build track record.
  • Use the firm’s AI legal technology daily to speed up drafting, review, and issue-spotting without sacrificing quality.
  • Bring a genuine interest in how AI and technology can change legal practice—this isn’t a tool you tolerate, it’s one you want to get better at using.
  • Contribute ideas for improving how the team uses AI and other tools in its day-to-day workflows.
  • Advise clients directly on commercial risk and contract strategy, communicating clearly and with appropriate urgency.
  • Translate legal and commercial complexity into plain-language guidance for business stakeholders.
  • Build trusted relationships with clients across the technology industry.
  • Receive structured mentorship and training from senior counsel—especially valuable if you’re retooling from a different drafting-heavy practice area.
  • Take on increasing complexity and autonomy over time, with a clear path toward more senior commercial counsel work.
  • Identify process improvements, product gaps, and emerging opportunities, and surface them to firm leadership.
