About The Position

Houlihan Lokey's Secondary Solutions Group provides strategic advice and execution services to private equity sponsors and institutional investors navigating the fast-growing market for private equity secondary transactions. The group specializes in both GP-led transactions – such as continuation vehicles, single- and multi-asset restructurings, and tender offers – as well as LP portfolio sales and fund interest transfers. Members of the Secondary Solutions Group work with a wide variety of private equity sponsors and institutional investors – across both industry and strategy – and work in tandem with Houlihan Lokey's industry coverage, M&A and financial restructuring teams. We are seeking an experienced Associate to join our New York office to focus on Secondary Solutions Advisory. Houlihan Lokey fosters a collegial yet entrepreneurial environment where teamwork is critical to success, and creativity and initiative are highly valued. The Associate will work closely with senior and mid-level investment banking professionals on live deals across a variety of transaction types, as well as pre-launch deal preparation and origination efforts.

Requirements

  • Minimum of 4+ years of experience in Investment Banking (M&A, Capital Markets, or GP-led Advisory) or Private Equity / Private Capital investment roles.
  • Strong financial modelling skills, including LBO, DCF, and continuation vehicle returns waterfall analysis, with advanced proficiency in Excel and PowerPoint.
  • Exceptional quantitative and analytical capabilities, with the ability to analyze business models and translate complex financial data into clear, compelling narratives.
  • Demonstrated ability to function as an integral member of deal teams, managing multiple workstreams effectively in a high-pressure environment.
  • Outstanding verbal and written communication skills, with the ability to engage and influence a range of internal and external stakeholders.
  • A proven track record of working collaboratively within a team-oriented environment, mentoring junior colleagues, and fostering effective relationships.
  • A proactive, self-starter mindset with the desire to succeed in a demanding but rewarding environment.
  • Strong academic credentials from an accredited institution required.

Responsibilities

  • Work closely with senior leadership to evaluate, structure, and execute GP-led and LP secondary transactions across a broad range of industries and strategies.
  • Drive capital-raising processes from origination through to closing, including coordination of investor outreach, engagement, and due diligence.
  • Build and maintain complex bottom-up three-statement and LBO models, fund-level waterfalls (GP/LP distributions), and DCF analyses, alongside performing detailed valuation work on portfolio companies and fund interests.
  • Manage key client and investor relationships. Engage directly with GP clients, assist in managing deal processes, and serve as a primary point of contact in investor discussions and buyer negotiations.
  • Develop and refine high-quality client materials, including Confidential Information Memoranda (CIMs), management presentations, and pitch books, ensuring a high standard of accuracy and clear strategic positioning.
  • Track and synthesize in-depth market research to provide actionable insights on trends in private equity and the secondaries market, including evolving deal structures and valuation dynamics.
  • Mentor and develop junior team members, fostering a high-performance, inclusive team environment.
