About The Position

DeWitt LLP seeks a Corporate and Mergers & Acquisitions Associate to join our dynamic Business Practice Group. This role offers the opportunity to work on sophisticated transactions, including domestic and international mergers, acquisitions, joint ventures, and strategic investments. The ideal candidate is a motivated attorney who thrives in a collaborative, client-focused environment and is eager to take on meaningful responsibility in complex deal work.

Requirements

  • J.D. from an accredited law school and strong academic credentials
  • 2 or more years of experience in corporate law and M&A transactions
  • Experience drafting and negotiating transaction documents
  • Strong analytical, writing, and communication skills
  • Ability to manage multiple priorities and work both independently and as part of a team

  • Experience with middle-market transactions
  • Eagerness to be exposure to private equity, ESOPs, or international transactions

Responsibilities

  • Assist in structuring, negotiating, and closing M&A transactions
  • Draft and review transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements
  • Draft, review, and negotiate a variety of contract types, including license agreements, leases, real estate purchase and sale agreements, non-disclosure agreements and product and service sales and use agreements.
  • Conduct and manage due diligence processes
  • Advise clients on corporate governance, entity formation, and general business matters
  • Support cross-border transactions and regulatory compliance (e.g., securities, tax, employment considerations)
  • Collaborate with attorneys across practice areas to deliver comprehensive client solutions
