We are currently looking for an associate-level Attorney to provide legal advice on corporate, securities and M&A matters in our New York, NY or Minneapolis, MN office. In this role, the attorney would be an Associate General Counsel for Investment Banking and Capital Markets. The anticipated starting salary range for individuals expressing interest in this position is $175,000 - $200,000 per year. Placement within this range is dependent upon level of experience, location and other factors. This position is eligible for annual incentive compensation which will be a part of the total compensation. Total compensation for this position will be competitive with the market. Requirements

• Candidates must be self-motivated, detail-oriented problem-solvers with high work standards, excellent organizational, interpersonal, and oral and written communication skills; and a high-level of discretion, maturity and ethical integrity.
• Candidates should have relevant experience working on both securities and M&A transactions.
• Candidates must be able to work well both with a team and independently under limited supervision, and must be able to prioritize, meet deadlines, and be flexible to adapt to changing organizational needs.
• Candidates must be willing to work overtime as workload requires.
• Large law firm or investment bank experience strongly preferred.
• Two to four years of experience is generally preferred.
• Must be licensed in New York or Minnesota, as applicable.

Responsibilities

• Working with other firm attorneys to provide legal support to the firm’s investment banking and capital markets businesses
• Drafting, reviewing and negotiating engagement letters, non-disclosure agreements and transaction documents
• Participating in firm committees, such as commitment committee, M&A committee and opinion committee
• Monitoring relevant regulatory and legislative changes and requirements
• Working with internal clients on special projects as requested
• Managing outside counsel and outside legal expenses
• Assisting with third-party matters and ancillary litigation matters
