Requirements

JD from an ABA-accredited law school with exceptional academics and extracurriculars.
Active membership in good standing in the relevant state (or eligibility for prompt admission).
2–4 years focusing on complex corporate and commercial transactions from a Chambers-ranked or highly reputable firm.
Experience should include public company work, registered equity offerings, and M&A.

Nice To Haves

A life sciences background is not required, but a passion for the field is essential.
Corporate life sciences transactional experience is preferred, but strong client-facing associates from private equity, structured finance, and other high-end industries will be considered.

Responsibilities

Structuring and executing equity financing (venture capital, PIPE, registered direct offerings).
Managing IPOs and follow-on public offerings (drafting registration statements, underwriting agreements, disclosures).
Advising on M&A for public and private companies (asset/stock acquisitions, reverse mergers).
Providing SEC representation and counsel on securities law compliance, periodic reporting (10-K, 10-Q, 8-K), proxy statements, and Section 16 filings.
Handling corporate governance (board resolutions, committee charters, stockholder agreements).
Supporting public companies from pre-IPO to post-IPO compliance.
Managing substantial deal components independently while collaborating within teams.
Building and maintaining client relationships with venture-backed private and public companies and institutional investors in life sciences and healthcare.
