Requirements

  • JD from an ABA-accredited law school with exceptional academics and extracurriculars.
  • Active membership in good standing in the relevant state (or eligibility for prompt admission).
  • 2–4 years focusing on complex corporate and commercial transactions from a Chambers-ranked or highly reputable firm.
  • Experience should include public company work, registered equity offerings, and M&A.

Nice To Haves

  • A life sciences background is not required, but a passion for the field is essential.

Responsibilities

  • Structuring and executing equity financing (venture capital, PIPE, registered direct offerings).
  • Managing IPOs and follow-on public offerings (drafting registration statements, underwriting agreements, disclosures).
  • Advising on M&A for public and private companies (asset/stock acquisitions, reverse mergers).
  • Providing SEC representation and counsel on securities law compliance, periodic reporting (10-K, 10-Q, 8-K), proxy statements, and Section 16 filings.
  • Handling corporate governance (board resolutions, committee charters, stockholder agreements).
  • Supporting public companies from pre-IPO to post-IPO compliance.
  • Managing substantial deal components independently while collaborating within teams.
  • Building and maintaining client relationships with venture-backed private and public companies and institutional investors in life sciences and healthcare.
