About The Position

The Assistant General Counsel is a senior legal advisor supporting The RMR Group’s middle-market lending platform, private equity, and investment activities. This role provides strategic and hands-on support for complex transactions, balancing legal risk with business objectives. Reporting to the General Counsel, the position partners closely with investment and executive teams to structure, negotiate, and execute transactions efficiently and effectively.

Requirements

  • J.D. degree from an accredited law school with strong academic credentials
  • 7+ years of experience in financing or private equity, ideally at a large or mid-sized law firm and prior in-house experience preferred.
  • Proven experience negotiating financing transactions in a middle-market setting and advising on investment matters
  • Excellent written and verbal communication skills, including in contract drafting
  • Ability to manage competing priorities and deliver quality work in a fast-paced environment
  • Strong analytical skills with sound business judgment
  • Minimal travel required

Responsibilities

  • Lead structuring, negotiation, and execution of middle-market corporate and real estate financings, including secured and unsecured credit facilities, debt placements, and refinancing transactions.
  • Serve as lead in-house counsel for direct lending platform and commercial real estate private credit transactions across the full lifecycle (structuring through closing).
  • Provide legal support for repurchase (repo) and warehouse financings, including drafting and negotiating master repurchase agreements, security agreements, and related transaction documents.
  • Manage legal and regulatory risk in mortgage loan warehouse and repo transactions; ensure compliance and oversee outside counsel.
  • Advise on senior debt, mezzanine financing, mortgage finance, and commercial real estate (CRE) transactions; act as a core legal partner to investment teams.
  • Draft and negotiate loan applications, credit agreements, commitment letters, and related loan documents; manage external counsel; identify and mitigate transaction risks.
  • Support private equity transactions, fund formations, joint ventures, and governance matters.
  • Oversee legal aspects of due diligence for financing and investment transactions.
  • Provide legal guidance on corporate structuring and entity formation specifically for middle-market entities.
  • Counsel stakeholders on rights, obligations, and risks in commercial and financial contracts.
  • Assist with acquisitions and portfolio-level transactions, including purchase and sale agreements, Estoppels, SNDAs, etc.
  • Partner closely with finance, asset management, and executive teams to drive middle-market business initiatives.
  • Deliver practical legal advice that aligns risk with business priorities.
  • Manage outside counsel to ensure efficient, high-quality legal support tailored for the middle market.
  • Assist with dispute resolution, regulatory compliance, and governance matters.
  • Coordinate across business units for timely execution on legal issues.
