As an Attorney within the Debt Capital Markets (DCM) Lending Legal team in the Commercial & Investment Bank, you will provide comprehensive general and transactional legal advice to the North America DCM lending business across leveraged, investment grade, direct lending, and club-deal facilities, including both domestic and cross-border transactions. You will advise on deal structuring and documentation, collaborate closely with bankers, Credit Risk, Operations, and Compliance, and coordinate the Legal department’s role in key business, control, and compliance initiatives. You will also help establish and refine standard forms and procedures, oversee and manage relationships with outside counsel, and deliver clear escalation, guidance, and risk assessments on legal and regulatory issues affecting financial institutions operating in multi-state and international environments. Requirements

  • 5+ years of relevant lending/finance transactional experience at a law firm and/or in-house legal department at a large bank or financial services company.
  • Licensed attorney and member in good standing in the jurisdiction where the role is located, or otherwise compliant with applicable in-house counsel registration rules prior to start date.
  • Strong background in secured lending and syndicated leveraged finance transactions, including up-to-date working knowledge of UCC Articles 8 and 9 and their application to secured lending structures and collateral packages.
  • Proven ability to prioritize effectively, manage high volumes of issues, complex matters and multiple concurrent workstreams in a fast-moving environment.
  • Strong analytical skills with the ability to spot issues early, propose solutions, and exercise sound judgment.
  • Collaborative approach and ability to partner with DCM bankers, Credit Risk executives, and cross-functional stakeholders.
  • Clear and confident communicator, able to interact with senior and executive management.
  • Self-starter mindset with adaptability and the ability to apply core legal skills to unfamiliar subject matter.
  • Ability to operate with integrity and discretion, including appropriate escalation of issues and risk-sensitive decisioning.

Nice To Haves

  • Practical experience using legal technology and AI tools to improve transaction execution, risk management, and/or workflow optimization.
  • Familiarity with legal, regulatory, and ethical considerations for AI and data analytics in financial services.
  • Experience with U.S. bankruptcy/debtor-creditor law, securities laws and major bank regulatory provisions, including Regulation W, Regulation U, and bank anti-tying rules.
  • Demonstrated project management capability (e.g., coordinating cross-functional initiatives, driving standardization, managing counsel).
  • Track record of sound judgment, strong risk instincts, and the ability to deliver practical, compliant business solutions.

Responsibilities

  • Advise the North America DCM lending business on commercial lending transactions, including large syndicated credit facilities (leveraged and investment grade), direct lending, and club-deal facilities.
  • Advise on how transactions are structured and work with outside counsel on loan and syndication documentation and related transaction materials.
  • Escalate and communicate potential concerns to Legal, Compliance, and control functions, ensuring appropriate risk identification and mitigation.
  • Advise on new product development and assess marketing, regulatory, and related issues impacting financial institutions in multi-state and international environments.
  • Partner with Credit Risk, Operations, and Compliance to address transactional, operational, and regulatory risk and control issues.
  • Analyze and apply applicable federal and state laws and regulations to transaction structures and business practices.
  • Prepare and maintain standard forms, and procedures to improve quality, consistency, and speed of execution.
  • Deliver training and guidance to the business on legal developments, documentation standards, and risk topics as needed.
  • Support significant business, controls, and compliance initiatives and cross-line-of-business projects requiring coordinated Legal engagement.
