About The Position

Atomic Vest is seeking a Corporate Counsel to join its legal team and serve as a key partner to the General Counsel. The role combines legal analysis on fintech matters, commercial contract negotiation, dispute management, legal advice to the risk committee, and hands-on legal operations work, including maintaining and improving the contract and vendor management database. The position will help build depth and resilience in a legal department currently staffed by a single senior attorney. The successful candidate will handle legal work that supports business operations while receiving mentorship from the General Counsel and taking on increasingly varied responsibilities. The role offers exposure to commercial transactions, regulatory matters, mergers and acquisitions, legal operations, cross-border transactions, disputes, privacy, and corporate governance. Atomic is a remote-first company. Candidates must be based in the United States; the New York metro area or San Francisco Bay Area is a plus.

Requirements

  • J.D. from an accredited law school.
  • 5 to 7+ years of experience in a corporate legal department, law firm, or a combination of both.
  • Substantive knowledge and prior experience in one or more of fintech, brokerage, investment advisory, banking, payments, crypto, or financial services.
  • Experience in at least two areas among commercial contracts, broker-dealer or investment advisor regulation, legal operations, mergers and acquisitions, cross-border transactions, litigation or disputes, privacy, employment, and corporate governance.
  • Familiarity with contract and vendor management databases and CLM programs.
  • Ability to work independently and exercise sound judgment about when to escalate.
  • Ability to manage multiple matters and workstreams simultaneously in a fast-paced environment.
  • Excellent communication skills for working cross-functionally with non-legal stakeholders.
  • Strong organizational skills and ability to develop and maintain standardized processes and checklists.
  • Must be based in the United States.

Nice To Haves

  • Prior in-house experience, especially in fintech, brokerage, crypto, payments, banking, or financial services.
  • Familiarity with international regulatory filings and cross-border compliance requirements.
  • Knowledge of broker-dealer, RIA, or investment company regulatory frameworks.
  • Technology proficiency, including spreadsheets, PowerPoint, data analytics, and AI tools to improve productivity.
  • Location in the New York metro area or San Francisco Bay Area.

Responsibilities

  • Serve as a legal point of contact for internal teams, responding to requests and providing timely guidance.
  • Assist with regulatory projects and special initiatives as directed by the General Counsel, including international regulatory filings, mergers and acquisitions, and applications for new permissions and activities.
  • Coordinate document preparation for regulatory submissions, including notarization, apostille, exhibit assembly, and formatting for filing requirements.
  • Provide backup to the General Counsel across legal functions to ensure continuity and coverage.
  • Negotiate and review commercial contracts with partners, including master agreements and order forms.
  • Manage routine contract negotiations from start to finish, escalating non-standard terms or high-risk issues to the General Counsel.
  • Review new contracts against a standardized checklist covering payment terms, exit clauses, reserve provisions, and enforcement mechanisms, and flag deviations for legal review.
  • Track and document modifications to standard contract terms and ensure affected Atomic teams are informed.
  • Handle day-to-day dispute management, including demand letters and pre-litigation matters.
  • Manage lower-complexity employment matters and coordinate with outside counsel when needed.
  • Track and respond to litigation deadlines, discovery requests, and regulatory inquiries.
  • Prepare legal analyses for the risk committee on matters requiring legal review.
  • Maintain, improve, and expand the Ivo vendor and contract management database, including partner agreements, order forms, and compliance records.
  • Develop automated reports on auto-renewal dates, termination windows, and other key contract metrics.
  • Partner with Compliance to align vendor due diligence workflows with the contract database.
  • Identify and implement process improvements to increase the efficiency of the legal function.
