About The Position

Cboe is seeking an Assistant General Counsel to lead legal support for Cboe’s strategic transactional activity. Cboe operates in a highly regulated environment and, in addition to expertise in strategic transactions, the successful candidate will need the willingness and capability to learn the various regulatory frameworks that apply and navigate them responsibly in the performance of this role. This position is based in Chicago, Illinois.

Requirements

  • Minimum of 8 years of relevant legal experience at a large or mid-size law firm (preferably serving public company clients) and/or at a public company.
  • Significant experience structuring complex strategic transactions and negotiating legal elements of such transactions with sophisticated counterparties.
  • Significant experience drafting, reviewing and negotiating complex corporate transactional legal agreements and documents.
  • Sophisticated knowledge of relevant areas of law, including state corporation laws and contract law and working knowledge of other relevant areas of law such as antitrust, employment and IP.
  • Strong writing skills and the ability to express complex subject matter in an accurate, clear, and straightforward manner.
  • Experience directly and effectively advising senior businesspeople on strategic matters.
  • Familiarity with public company governance and disclosure requirements.
  • Ability to develop strategic solutions to legal problems and communicate to business effectively.
  • Ability to effectively communicate both orally and in writing and to effectively interact with internal and external contacts.
  • Ability to work independently and to work cooperatively in group situations; offer assistance and support to co-workers; balance team and individual responsibilities; exhibit objectivity and openness to others' views; give and welcome feedback.
  • Ability to organize and prioritize work assignments; strong time management experience and skills; and ability to complete multiple tasks simultaneously with accuracy and quality, to adjust to changes in priorities and situations, and to meet deadlines.
  • Bachelor’s Degree and Juris Doctorate.
  • Licensed to practice law.
  • Computer proficiency in Microsoft Office Suite applications including Word, PowerPoint, Excel, and Outlook, as well as document management and other office technologies.

Responsibilities

  • Lead all legal elements of acquisitions, dispositions, investments, joint ventures and partnerships, including legal elements of transaction analysis, structuring and diligence; agreement drafting and negotiation; and transaction execution and integration.
  • Provide legal advice and support in exploring, negotiating and executing new strategic partnerships and commercial relationships.
  • Provide legal support in managing Cboe’s strategic investment portfolio, including ongoing governance and management of such investments and modifications to or exits from such investments as applicable.
  • Support Cboe’s governance processes for strategic transactional matters, including as necessary planning internal approval processes and preparing board and other internal approval materials.
  • Coordinate advice and input from other Cboe attorneys (e.g., IP, employment, securities regulatory, etc.) and departments (e.g. finance, tax, HR, etc.) regarding the strategic matters referenced above.
  • Provide legal advice and support to Enterprise Strategy and Corporate Development function on strategic transactional matters.
  • Handle other legal matters from time to time as needed, which could include, among other things, providing legal and contract support for new commercial initiatives or supporting corporate governance and general corporate matters.
  • Assist with various legal projects across the Legal Division and perform other duties as assigned.
  • Maintain high standards of legal and regulatory compliance and promote a culture of compliance.
