About The Position

Under the direction of the Chief Operating Officer, the Vice President of Legal Affairs will provide legal counsel for and on behalf of Boys & Girls Clubs of San Francisco. Counsel senior management on legal handling of business transactions such as leases, contracts, MOUs, trusts & estates, etc. Serve as point of contact for outside, pro bono legal counsel, working with President & COO as needed; provide employment counsel as needed; promote public trust through compliance with internal policies, including policy updates and sign offs, and document retention; provide counsel, advice, and legal services to BGCSF staff on legal or regulatory aspects of the organization’s operations and programs related to contractual obligations; and advise staff as requested to respond to inquiries; review contracts, leases, and MOUs and assist in negotiation as needed. This position is part-time (24 hours per week), located at our John N. Callander Administrative Office in San Francisco. This position is benefits eligible.

Requirements

  • Juris doctor degree from an accredited school of law and an active membership in the CA Bar Association required. Thorough knowledge of general corporate law, contracts management, employment law and legal research.
  • A minimum of six years of relevant experience in the practice of law, preferable general corporation law; or any equivalent combination of experience and training which provides knowledge of state and federal laws with particular attention to contract laws, legal research, the roles and authority of applicable regulatory agencies; thorough knowledge of judicial procedures and the methods of legal research; and considerable knowledge of the principles and practices of administration, organization, and supervision.
  • Experience in research, legal writing and legal analysis and in computer-assisted legal research.
  • Excellent commercial negotiation and drafting skills; excellent executive communications skills (both written and verbal); ability to effectively conduct business in person, by videoconference, and by telephone; ability to judge character, and make decisive, sound judgments; ability to analyze, appraise, and organize facts and applicable laws, court and administrative decisions, and regulations, with strong ability to present such information clearly and concisely, verbally and in writing, to legal and non-legal persons and groups.
  • Budget management; cost/benefit analysis; facilitation/presentation skills; leadership; industry understanding; relationship building.
  • Experience with Google Workplace and Microsoft Office.
  • Must be able to lift 15 lbs. (25lbs for direct services)
  • Must be able to stand for at least 1 hour consecutively. (2 hours for direct services)
  • Must be able to sit at a computer workstation for long periods of time.

Responsibilities

  • Responsible for reviewing vendor contracts and sponsorship agreements.
  • Review and assist in the drafting of general business contracts, such as MOUs, rental agreements, vendor contracts, property leases, marketing and sponsorship endorsements, and more; to reduce risk to the organization.
  • Participate in structuring and negotiating complex transactions and set up procedures to reduce risk.
  • Draft legal memoranda on a broad range of matters; draft legal instruments; draft correspondence to government agencies, regulatory bodies and other entities; draft Board resolutions, article and bylaw amendments, and minutes; review and draft pleadings and other litigation related documents; draft IRS filings and related correspondence; and assist in monitoring litigation and drafting legal and property reports for the Board.
  • Prepare legal documents by researching, analyzing, drafting, negotiating, reviewing and filing these documents to ensure the organization’s obligations therein are compatible with management’s philosophy and policies and enforceable.
  • Develop and review corporate governance and compliance procedures.
  • Keep apprised of legal developments affecting the organization. Provide interpretations, counsel and advice by interpreting laws, regulations, court decisions, and rules affecting the work of the organization, the Board, corporate members, and management.
  • Review reports of critical incidents, work with Marketing & Communications to manage communications to maintain legal privilege, and provide general legal guidance to the organization.
  • File all state requirements associated with the corporation.
  • Provide oversight on record keeping.
  • Conduct legal research on a wide variety of topics such as nonprofit law, employment, Internet, housing, fundraising, corporations, health law and unrelated business income tax and other tax issues.
  • Manage insurance programs including notice of all potential claims.
  • Select, retain, coordinate, manage and review the activities and billings of outside counsel.
  • Participate in negotiations with third parties regarding contracts, acquisitions, proposals, new ventures and dispositions to ensure an advantageous company position in such arrangements within the confines of the organization’s philosophy.
  • Assist with other projects as required by the President or COO.
  • Adhere to organizational policies and procedures as described in BGCSF’s Employee Handbook, Ethics Policy and elsewhere.
