Check out our company page: https://www.imagefirst.com/company/ We are seeking a Vice President of Corporate Development (M&A) to join our dynamic team. As the VP of Corporate Development (M&A), you will work with the Vice President of Strategy & Corporate Development, CFO, and CEO to drive ImageFIRST’s M&A process end-to-end. ImageFIRST is an acquisitive company (25+ acquisitions in past 7 years); this role will be exposed to ongoing M&A transactions and will own the entire corporate development process of live deals from sourcing to modeling to deal negotiation and M&A contract management. This role will include significant exposure to ImageFIRST executives and to the world of Private Equity investing.

Requirements

  • Strong in Excel modeling, financial analysis and PowerPoint slides
  • Complete proficiency in analyzing financial documents and business plans and developing valuation assessments based on research and due diligence
  • Familiar with managing key M&A related contracts such as LOI, offer letters, and purchase agreements
  • Strong analytical horsepower and overall business acumen
  • Creative thinker with good instincts/judgement and demonstrated lifelong curiosity
  • Excellent judgment and analytical ability to make recommendations and decisions and to resolve complex problems
  • Ability to manage multiple complex projects and internal and external stakeholders from different functions, businesses, and backgrounds, while maintaining confidentiality of sensitive information
  • Strong work ethic resulting in consistent, high-quality performance
  • Ability to thrive in a highly dynamic, time sensitive, and collaborative environment
  • Strong verbal, written and presentation skills

  • MBA is not required but preferred

Responsibilities

  • Own all elements of the corporate development process, including pipeline tracking, valuation, due diligence, negotiations, and deal strategy contract management of all transactions
  • Work directly with business owners and leaders to manage every aspect of the due diligence team (financial, IT, HR, manufacturing etc.)
  • Draft and manage Letters of Intent (LOI), offer letters, asset purchase agreements, and other related documents
  • Lead and oversee active corporate development processes, including acquisitions and partnerships, informing and partnering with internal and external stakeholders throughout the process
  • Develop and deliver corporate development communication materials such as board meeting pages and investment memos for executive leadership, CFO, CEO, and board of director
  • Support key strategy steps during M&A process, including target identification, target cultivation, strategic rationale, deal execution and integration
  • Manage investment bankers, private equity owners, and other key relationships related to M&A
  • Handle ad-hoc technical M&A topics with precision and expertise
