The VP/SVP will be responsible for managing transactions from inception to completion, supporting portfolio operations, and advising senior leadership and working with the regional offices across all business functions providing legal analysis, advice, transaction leadership and support. This role will be responsible for a broad range of matters including all aspects of equity and debt investments, joint ventures, asset acquisitions and dispositions, structured and/or complex financing, as well as asset-level agreements. This position is an integral part of the “deal making” process where business sense and good judgment will be as important as legal acumen. The VP/SVP will report directly to the Senior Managing Director, General Counsel & Chief Compliance Officer (“GC”), and will be based at Artemis’ Los Angeles office or in Artemis’ headquarters in Chevy Chase, MD. Requirements

  • 10+ years of relevant law firm and/or in-house real estate experience focusing on transactions, including joint ventures, acquisitions/dispositions, debt/financing, and development.
  • Strong understanding of joint venture structures and joint venture agreements.
  • Ability to work across all product types and structures proficiently.
  • Strong ability to be decisive and operate independently with respect to complex real estate transactions, including analyzing complicated issues and assessing risks.
  • Excellent interpersonal skills and approachable demeanor to engage and build strong collaborative relationships internally and externally.
  • Ability to frame legal issues in context of business objectives.
  • Ability to accurately assess the degree of legal risk in each situation.
  • Ability to align legal strategy with business goals, weighing risk and opportunity to achieve desired outcomes.
  • Business-focused strategic thinker with the ability to convey complex legal principals clearly and concisely.

Responsibilities

  • Work in concert with the GC and senior business unit leaders across various offices and business lines to achieve key business objectives and support the company’s portfolio of real estate assets, investments, and development projects in various asset classes and structures.
  • Draft, negotiate, manage, and oversee diverse portfolio of transactions from inception (i.e., Term sheet) to completion involving joint venture agreements, loan documents, purchase and sale agreements, development agreements relating to multiple investment strategies.
  • Review, analyze, negotiate, and/or draft real estate contracts and related documents (i.e., letters of intent; joint venture agreements, purchase and sale agreements, loan documents, leases, lease amendments, subleases; reciprocal access agreements; and letters of credit).
  • Support and collaborate with an internal and external multi-disciplinary team of acquisitions, asset management, development, design, construction, and finance professionals to effectively manage transactions towards timely and successful completion.
  • Collaborate with and advise internal business units with respect to all project level documents and ensure agreements are compliant with the Company’s joint venture and loan obligations.
  • Assist in the administration of contracts in accordance with company policies and legal requirements.
  • Assist and support the business teams in negotiating and managing legal documents for an assigned portfolio of assets, new business lines/assets, as well as development projects, across multiple jurisdictions.
  • Actively participate in Investment Committee meetings by anticipating, preparing for, and responding to legal-focused inquiries.
  • Assist and support the asset management team in drafting and negotiating asset-level documents including but not limited to commercial/office leases, vendor agreements etc.
  • Provide training and guidance to Analysts, Associates, Senior Associates, and Vice Presidents outside of the legal team.
  • Interpret the requirements of governmental agencies (including SEC), laws, statutes, rules, regulations, and court decisions affecting the business and/or its assets in multiple jurisdictions.
  • Oversee, direct, and manage teams of external and specialized counsel on various legal matters.
  • Assist in establishing, refining, and maintaining internal legal processes and procedures to support efficient management of a national portfolio of diverse real estate assets.
  • Assist in the scaling of the Company’s continued growth.
  • Assist with all other duties and projects as directed by the GC.
