About The Position
Nasdaq Private Market is transforming how private company equity is managed and transacted. As a leading platform for private market liquidity, the company provides technology and structured marketplaces that allow founders, employees, and investors to manage and transact private company shares with greater transparency, efficiency, and compliance. Nasdaq Private Market is seeking a Transactional Attorney to support the legal execution of private market transactions across its platform. In this role, the attorney will work closely with internal deal teams and external stakeholders to structure and execute secondary equity transactions involving venture-backed companies and their shareholders. The position plays a key role in reviewing and negotiating transaction documentation, advising on securities considerations, and ensuring transactions are structured in alignment with regulatory and corporate governance requirements. The attorney will collaborate closely with internal teams across operations, compliance, and client success to help bring complex private market transactions to completion. The ideal candidate brings strong experience in corporate or transactional law, with a background supporting capital markets, venture financings, or private equity transactions. You are comfortable operating in deal-driven environments, translating complex legal frameworks into practical execution, and working closely with deal professionals to support high-value private market activity.
