About The Position

PWR, PLLC seeks a dynamic Transactional Attorney to complement our estate planning, business transactional, and tax advisory practice. We provide legal counsel and documentation services in connection with estate and business succession planning, business formation, organization and restructuring, operations, mergers, sales, and acquisitions. We also represent our clients in federal, state, and local tax planning and structuring to mitigate tax liability and resolve disputes with the IRS and other taxing authorities.

Requirements

  • Juris Doctorate required
  • Active member in good standing with the Arkansas bar or willingness to obtain such standing
  • Exceptional legal and tax research skills with the ability to synthesize complex regulatory information into actionable client advice
  • Located or willing to relocate to Little Rock, Arkansas
  • Demonstrated interest in transactional law, estate planning, business formation
  • 3 to 5 years of experience working in a transactional law practice, including an emphasis on estate planning, forming and structuring LLCs, partnerships, corporations, and tiered organizational structures
  • Excellent negotiation, contract drafting, and written and verbal communication skills
  • Ability to work in a fast-paced environment with an ability to proactively determine, prioritize and resolve issues

Nice To Haves

  • Bachelor’s or Masters Degree in Taxation or Accounting, strongly preferred
  • Additional experience desired in the areas of estate and business succession planning, mergers and acquisitions, income, estate and gift taxation, federal, state, and local tax, subchapters C and S, partnership taxation, and other complex business matters

Responsibilities

  • Negotiate, draft, review and revise various types of contracts, amendments, responses to requests for proposals, and other transactional legal documents.
  • Responsible for entity formation, joint ventures, compliance, and record maintenance.
  • Prepare documents for mergers, acquisitions, and reorganizations.
  • Provide legal advice regarding compliance with applicable regulations, laws, and policies and identifying legal and business risks.
  • Draft, review, and revise foundational wealth preservation and estate planning documents tailored to maximize asset value and minimize taxes.
  • Correspond with the IRS and other taxing authorities.
  • Assist with tax controversy representation.
  • Conduct in-depth tax research to analyze complex federal, state, and local tax codes, IRS rulings, and regulations, and apply this research to support wealth preservation strategies, structure entity formations, and build strong positions for tax controversy representation.
  • Engage in client discussions, communications, and outreach as needed.
