The Role Our Sr. Paralegal provides legal and transactional support to the AXS Legal Team on a broad range of corporate, contractual, and governance matters. This role provides direct support to Sr Corporate leadership and executive governance committees, managing agreements across AEG Real Estate and other high-risk, high-value contracts. Working closely with attorneys and internal stakeholders, the Sr. Paralegal ensures compliance, manages documentation, and drives process efficiency.

Requirements

  • BA/BS degree in Political Science, Law, or related area
  • Paralegal certification
  • 4-6 years of professional experience as a paralegal, with at least 4 years focused on corporate entity formation, governance, and business law.
  • Demonstrated experience supporting executive or board-level transactions, including real estate, M&A, or complex commercial agreements.
  • Advanced knowledge of transactional law, corporate governance, and compliance documentation.
  • Ability to exercise independent judgment and discretion in prioritizing and resolving complex matters.
  • Strong organizational and communication skills, with the ability to collaborate across all levels of leadership.
  • High attention to detail, accuracy, and confidentiality.
  • Proficiency with Microsoft Office, OneDrive, DocuSign, and Adobe Acrobat; familiarity with contract lifecycle and entity management tools preferred.
  • Agile, resourceful, and adaptable in a dynamic business environment.

Nice To Haves

  • Prior in-house experience in a global or fast-paced corporate environment strongly preferred.

Responsibilities

  • Draft, review, and negotiate contracts including NDAs, service, license, and employment agreements with attorney oversight; manage complex real estate and executive-level agreements requiring strategic judgment and confidentiality.
  • Provide administrative and governance support, including entity formation, dissolution, structural changes, annual filings, and preparation of shareholder consents and resolutions.
  • Oversee the organization and maintenance of executed document repositories; implement document management best practices, including tracking, version control, and monitoring critical deadlines.
  • Identify process improvements and best practices across Legal and related cross-functional teams to enhance efficiency and governance consistency.
  • Support litigation and dispute resolution efforts, including document collection, discovery, and preparation of case summaries for leadership.
  • Maintain and monitor intellectual property records and filings, coordinating with external counsel as needed.
  • Assist with acquisitions, investments, and integrations, performing diligence review, supporting closing logistics, and maintaining post-closing documentation.
  • Support Legal department with documentation review, coordination, and special projects.
  • Create, update, and improve contract templates and online terms to ensure compliance with business and legal standards.
  • Maintain and update corporate structure charts, minute books, and entity records across jurisdictions.
  • Monitor and interpret new legislation, assess implications for AXS and AEG Real Estate, and contribute to policy recommendations.
