This position will work in a hybrid setting (in-office approximately 2 days per week, and as desired or needed) in our Dallas, TX office. Requirements

  • Current license in good standing to practice law. Graduate of an ABA-accredited law school.
  • Eight (8) years of experience as a practicing attorney in a corporate law department, preferably involving contracts, intellectual property, and governmental regulatory affairs, and at least five (5) years of experience in drafting and negotiating intellectual property licenses.
  • Current working knowledge of general corporate and administrative areas of law, including contract, property, and intellectual property, business, and corporation law.
  • Skill at analytical thinking and preparing clear and concise documents, and proven skill at legal research and drafting.
  • Skill at effective oral and written communications, negotiating, and interacting with individuals at all levels in the Association, business, government, and the public.
  • Ability to handle diverse clients and a substantial workload while providing timely and relevant legal support.
  • Ability to engage and interact with internal and external legal customers effectively.
  • Ability to manage diverse matters simultaneously within established deadlines.
  • Ability to work independently.
  • Ability to travel 5% local and overnight stay.

Nice To Haves

  • Any experience in providing legislative advocacy support or public interest law is an additional plus.

Responsibilities

  • Under the direction of the Executive Vice President, General Counsel, and the Vice President, Deputy General Counsel, the legal counsel provides legal advice, opinions, services, and documents to support the decisions, plans, and activities of National Center staff and departments.
  • Provides reliable and timely legal advice and services to Association staff.
  • Provides reliable legal advice on issues regarding business decisions and plans.
  • Communicates with the Association’s staff/clients effectively and promptly.
  • Stays current with legal developments affecting the Association’s business and advises Legal staff and Association management best practices.
  • Build relationships with key players in the Association’s business unit, attend strategic meetings to identify emerging legal issues and provide legal input to key players, identify the need for Legal projects, training, and/or intakes, and provide guidance to Legal Staff on intakes received related to that business area.
  • Attends additional training/legal education courses as requested.
  • Prepares and presents relevant legal training to the Association’s National Center and region staff.
  • Identifies areas of legal need and works on assigned projects to address the Association’s requirements.
  • Provides legal support for the Association’s Compliance effort for applicable laws and the Association practices.
  • Research legal issues and prepare legal opinions and guidelines regarding resolutions of specific issues or courses of action.
  • Reviews, edits, interprets, drafts, negotiates and approves contracts, leases, intellectual property licenses, and other legally binding instruments.
  • Design, conduct, and prepare recommendations from periodic legal audits of the Association’s functions or operations.
  • Provide guidance and resources to Attorneys and Legal Dept staff.
  • Manages outside counsel and advises the Association’s management on litigation and dispute resolution issues when necessary.
