We are seeking an experienced Sr. Corporate Counsel to join our Legal Department, reporting to the Director of Corporate Legal. As a key member of our corporate legal team, you will play a critical role in securities compliance, corporate governance, strategic transactions, and general corporate matters. This role requires close collaboration with Finance, Investor Relations, Marketing, Human Resources, and external counsel to ensure legal and regulatory compliance.

Requirements

  • 10+ years of experience as a corporate attorney in a law firm or public company legal department (preferred).
  • Strong knowledge of securities law, corporate governance, and public company compliance.
  • A collaborative team player with the ability to effectively manage paralegals and business stakeholders.
  • Self-motivated with a proactive approach to legal matters.
  • High ethical standards, attention to detail, and strong problem-solving skills.
  • Juris Doctor (JD)
  • Licensed to practice law, preferably in California.

Responsibilities

  • Advise on securities law, SEC reporting, and compliance matters.
  • Provide corporate governance support, including preparing board and committee materials.
  • Lead the preparation of the company's proxy statement and oversee shareholder meeting-related matters.
  • Support corporate development transactions such as M&A, debt/equity offerings, and executive compensation.
  • Collaborate with Investor Relations and Marketing to review press releases, investor presentations, and public communications.
  • Draft and review contracts, policies, and procedures to support business operations.
  • Implement company policies and provide strategic legal guidance.
  • Manage and coordinate with external counsel.
