About The Position

Elite Virtual Assist (EVA) is seeking an experienced Corporate/Startup Paralegal with additional experience in security filings, venture filings. This is a remote, full-time opportunity with full-time hiring possibility after 90 days, for a highly skilled, detail-oriented paralegal who can step in on day one with minimal guidance. This paralegal will support transactional legal matters involving startup corporate work, securities filings, venture financing, and real estate transactions. The ideal candidate has law firm experience, is comfortable handling filings independently, and can manage changing priorities efficiently. This is not an entry-level role; we are seeking a paralegal who can operate autonomously, provide ad-hoc support, and deliver high-quality work without training.

Requirements

YOU MUST BE BASED IN THE US TO BE CONSIDERED!!
3+ years of corporate/startup or securities paralegal experience (law firm background strongly preferred).
Hands-on experience with:
Strong proficiency with legal research, document drafting, and compliance management.
Highly organized, proactive, and comfortable working in a fast-paced, remote environment.
Strong communication skills and the ability to work directly with attorneys.

Responsibilities

Startup corporate matters
Venture financing (Seed, Series A/B)
Securities filings
Real estate transactional support
Carta onboarding and cap table management and Pulley.
Prepare draft documents, like board and stockholder consents, stock and option agreements
Coordinate signature pages and closings via SimplyAgree
Manage file organization, including with diligence, dataroom prep, etc.
Prepare tax and securities filings (83(b), DE franchise tax, CA blue sky filings)
Communicate with clients regarding the above
Ability to prepare and file corporate and securities documents independently with zero training.
