About The Position

Pluralsight Legal team is looking for a highly motivated Paralegal, Corporate Responsibility & Contract Management, to support our expanding operations. This critical role involves strengthening our corporate governance framework and providing high-quality legal and operational support across corporate, contract management, and subsidiary operations. Key responsibilities include corporate governance, international subsidiary management and filings, legal research, and SaaS contract review and redlining. Familiarity with privacy compliance is a plus. The ideal candidate will have a strong background in both corporate and SaaS contract law, excellent organizational skills, and practical experience in both law firm and in-house environments. Requirements

  • Contract Expertise (MUST-HAVE): Demonstrated proficiency is required in reviewing, drafting, and redlining commercial contracts (vendor, customer, or SaaS), with significant experience in a SaaS/Technology environment being essential.
  • Corporate Support: Experienced in managing corporate filings, maintaining records, and handling board resolutions and annual filings for both domestic and international subsidiaries.
  • Legal Familiarity: Familiarity with intellectual property, marketing law, and corporate governance principles.
  • Industry Experience: Experience in SaaS or a technology-focused company.
  • External Coordination: Experience coordinating with external counsel and global service providers on entity management and corporate compliance.
  • Platform Familiarity: Familiarity with corporate compliance platforms.
  • JD/Bachelor's degree and/or Paralegal certification.
  • Minimum 8 years of relevant experience, encompassing both law firm and in-house legal environments.
  • Hybrid Work Model: This role follows a hybrid schedule, with on-site work at our Westlake/Dallas, TX office Tuesday through Thursday and remote flexibility on Mondays and Fridays.

Nice To Haves

  • Privacy Law Knowledge (Good to Have): Working understanding of privacy and data protection laws (GDPR, CCPA) is preferred.
  • Global Data Transfer: Working understanding of global data transfer mechanisms and privacy certifications is a plus.

Responsibilities

  • Assist with corporate governance matters, including maintaining corporate records, board resolutions, and annual filings for domestic and international subsidiaries.
  • Support the formation, maintenance, or dissolution of international entities in collaboration with internal finance and external advisors.
  • Manage corporate calendars, monitor deadlines for international compliance obligations, and maintain accurate subsidiary data.
  • Coordinate and track local statutory filings and assist with tax-related documentation.
  • Review, draft, and redline vendor agreements, customer contracts, non-disclosure agreements (NDAs), and partnership agreements.
  • Maintain and organize the vendor contract lifecycle (intake, approval, execution, and archival).
  • Collaborate with cross-functional teams (Procurement, Sales, Marketing, Product, Finance) to ensure compliance with contractual and regulatory requirements.
  • Review marketing materials, campaigns, and communications for compliance with advertising and consumer protection laws.
  • Support the management of the company’s intellectual property portfolio, including trademark and copyright filings, renewals, and enforcement tracking.
  • Ensure appropriate use of third-party content, software, and open-source materials.
  • Conduct legal research and draft memoranda related to corporate and regulatory compliance matters.
  • Help maintain and update internal legal templates, policies, and training materials.
  • Provide general support to the Legal team, including organizing files, tracking compliance deliverables, and coordinating with outside counsel as needed.
  • Provide support for the company's privacy program, including assisting with data subject access requests (DSARs) and maintaining basic privacy documentation.
  • Assist with research and summarization of privacy regulations as needed.
